Dear Stuart:
-This is to memorialize our discussion and agreement of October 18, 1984, concerning the treatment of proprietary information of Westinghouse and ITT-Grinnell to be provided to CASE under a protective agreement.
As we discussed, the terms of the protective agreements CASE is to enter into with Westinghouse and ITT-Grinnell permit CASE to obtain and use the material in their answer (and subsequent pleadings on the subject, if necessary) to Applicants' motion for summary disposition ragarding design quality assurance.
If CASE decides to employ that material it is to be marked " Proprietary Information - For Eyes Only" and included only in the copies of CASE's pleadings provided to the Licensing Board, NRC Staff Counsel and Counsel for the State of Texas.
As we agreed, if it should become necessary to disclose such proprietary material to persons other than the NRC Staff (e.g.,
NRC Staff consultants) you will notify me at least five days prior to doing so in order for Westinghouse and/or ITT-Grinnell

to be given an opportunity to decide whether further action to protect such. proprietary material is warranted.
If Westinghouse or ITT-Grinnell determine that further action is necessary, you will be notified and will withhold disclosure of the material until they have had a reasonable opportunity to take such action.
