SAFETY EVALUATION SEABROOK STATION, UNITS 1 AND 2 By application dated October 17, 1983, PSNH submitted a request for amendments to CPPR-135 and CPPR-136. This request was to secure approval of a transfer of 0.41259 percent ownership in Seabrook Units 1 and 2 from the Vermont Electric Cooperative, Inc. to Vermont Electric Generation and Transmission Cooperative, Incorporated (VEG&T). We have reviewed the request and our evaluation is provided below.

ANALYSIS PSNH, as Project Manager and Operating Agent, has exclusive responsibility for the design and construction of Seabrook Station.

VEG&T is a Verriont public service corporation authorized to generate, transmit, purchase and sell electricity. VEG&T owns fossil fuel electric generating stations.

No advice from the Department of Justice is required because the ownership transfer is in form only and no real substantive change in ownership is occurring. Thus, a review on antitrust matters was not appropriate.

According to information filed with the proposed amendment for the ownership transfer, VEG&T will own less than 5 megawatts of generating capacity.

Therefore.VEG&T was not required to submit antitrust information for this ownership transfer because VEG&T qualifies as a de minimus applicant under 10CFR50.33a(a)(3).

The other issue which required an evaluation is the proposed co-owner's financial. qualifications to assume the 0.41259 ownership shares of Seabrook Station. The NRC regulations relating to the determination of an applicant's financial qualifications are in Section 50.33(f) of 10 CFR Part 50. These regulations, as amended on March 31,1982,' state that a financial review of an applicant to construct a production facility (commerical nuclear power plant) shall not be conducted if the applicant is an electric utility. Since Seabrook Station is a production facility and since VEG&T is an electric utility, a financial review of the proposed transfer of ownership shares is not required.

2-1 CONCLUSION On the basis of the cbove evaluation, the staff finds that the issuance of the requested amendments (1) transferring ownership of 0.41259 percent of Seabrook Station from Vermont Electric Cooperative, Inc. to Vermont Electric Generating and Transmission Cooperative, Inc. and (2) authorizing VEG&T to become a co-owner will not be inimical to the common defense and security or to the health and safety of the public. The staff finds that the requested amendments do not involve a significant hazards consideration because this action will not involve any significant increase in the probability or consequences of any accident, and this action will not involve any significant decrease in safety margin.
