Enclosed is a copy of the " Proprietary Information Agree-ment" (" Agreement") which incorporates into the draft that we previously provided to you by letter of April 17, 1984, the one change requested by Wells Eddleman by telephone call of May 9th. As we discussed by telephone today, pursuant to Paragraph 3 of the Agreement Joint Intervenors may file certain executed copies of'the Agreement h camera with the Board rather than with Applicants (where the Agreement is executed by non-witness experts or members of Joint Intervenors' organizations whose identities need not be disclosed).

On April 17, 1984, Wells Eddleman "for Joint Intervenors" mailed a post card informing the Board of negotiations with Ap-plicants "concerning their April 9 responses and protective order proposal on Joint Contention VII." As you are well aware, there have been no negotiations regarding the April 9 responses to interrogatories nor on any aspect of the request for production of documents, with the one exception of our dis-cussions leading to the Proprietary Information Agreement.

With the exception of the most recent revision requested by Wells Eddleman on May 9th, these discussions were concluded on 8405140090 840510 PDR ADOCK 05000400 0 PDR

May 10, 1984 Page 2 April 16th. We want to make it clear that we do not agree that the time for motions to compel regarding the April 9 responses has been tolled. Further, the record should reflect the fact that, with the exception of a limited number of proprietary documents, Joint Intervenors were free to commence document in-spection as of the date of receipt of the April 9 response.

With respect to proprietary documents, Joint Intervenors were free to commence document inspection as of the date of receipt of the April 17 draft of the Proprietary Information Agreement.

The requested change by Mr. Eddleman, raised on May 9th, could have been raised much earlier and resolved immediately. Thus, any delay in commencing document inspection can be attributable solely to the discretion of Joint Intervenors as to the pace at which they choose to litigate the issues in this proceeding.  !

PROPRIETARY INFORMATION AGREEMENT In consideration of the disclosure by Carolina Power &

Light Company and North Carolina Eastern Municipal Power

-Agency (hereinafter collectively referred to as " Applicants")

to each designated representative of the Joint Intervenors

- whose signature-is affixed below (hereinafter collectively referred to as " Recipient") of technical information which Applicants own and consider to be proprietary or which L

Applicants are under an obligation to a third party to main-tain as proprietary and treat as secret or confidential, Recipient agrees to accept and receive such proprietary in-l l . formation in confidence and trust subject to the following

terms and conditions:

1. Applicants shall designate information and documents

that contain proprietary information and provide a written l

I statement setting forth the reasons that such information or t-I-

i I~

documents are considered proprietary. Said proprietary docu-ments shall be made available to Recipient under the condi-tions described in " Applicants' Response to Joint Intervenors' Request for Production of Documents (Contention VII) ," dated April 9, 1984. (" Response to Request for Production") .

Provided, however, that nothing in this Agreement shall be construed to preclude Joint Intervenors from objecting to Applicants' designation of proprietary material by filing written objections with the Atomic Safety and Licensing Board

(" Board"). In the event of a ruling by the Board th. such information or documents are not proprietary, the terms of this Agreement will have no effect with respect to any in- ,

formation or documents that are the subject of said ruling.

2. Recipient shall employ all reasonal e efforts to maintain proprietary information disclosed under this Agree-ment secret and confidential. Recipient shall not use the proprietary information for any purpose except as necessary for Joint Intervenors' participation in the above-captioned proceeding.

3. Recipient shall not transmit or further disclose 1 l

i proprietary information furnished hereunder to any other l party, including parent organizations of Joint Intervenors, sister organizations of Joint Intervenors, subsidiaries of Joint Intervenors, consultants of Joint Intervenors, and l.

subcontractors of Joint Intervenors, without first obtaining t the prior written approval of Applicants, which approval will not unreasonably be withheld. In the event Applicants approve of such disclosure or transmittal, by specific written consent, Recipient shall first obtain and provide to Applicants a duly executed Proprietary Information Agreement containing all terms as set forth herein from said other party and shall thereafter disclose or transmit such proprietary information to such other party only on a proprietary and confidential basis as set forth in said Proprietary Information Agreement. In the event that Joint Intervenors desire to disclose the proprietary informa-tion furnished under this Agreement to non-witness experts re- '

tained by them for services performed in connection with the 1 above-captioned proceeding or to members of their organizations whose identities need not be disclosed to Applicants, a duly-executed copy of this Agreement may be filed in camera with the Board rather than provided to Applicants.

4. Recipient shall not make any copy or in any way repro-duce or excerpt the proprietary information to be held in con-fidence hereunder, except for the purposes set forth in Para-  ;

graph 2 above and under the conditions described in the Response to Request for Production without the prior written consent of Applicants. ,

5. Recipient may not assign this Agreement.

6 Applicants retain all rights, title, and interest in and to the proprietary information transmitted under this Agreement. Recipient shall return all copies of such proprie-tary information and any notes, pleadings or other materials containing proprietary information extracted from documents provided to Recipient pursuant to this Agreement upon the  ;

conclusion of the above-captioned proceeding.

7. Nothing herein contained shall apply to any informa-tion:
a. which is now generally known or available on an unrestricted basis to the trade or public or which becomes so known or available on an un-restricted basis without fault of Recipient;
b. which is already possessed by Recipient in >

writing without restriction to disclosure or use prior to its receipt from Applicants;

c. which is disclosed in any issued patent, pub-lication, or other source from and after the time it becomes generally available to the public; or .
d. which is acquired on an unrestricted basis from any third party, provided that Recipient does not know or have reason to know or is not in-formed, subsequent to disclosure by such third party and prior to further unrestricted dis-closure by Recipient, that such information .

was acquired under an obligation of confidentiality.

7 8 It is mutually understood that nothing herein shall be construed as permitting Recipient unfairly to obtain the right'to use information which becomes publicly known through an improper act or omission on his part.

9. In addition to any other remedy available to Appli-cants under law or equity, this Agreement shall be specifically enforceable by the Board in the above-captioned proceeding f and the Recipient shall be subject.to the sanctions of said Board for any breach thereof.
