L D'E A R' SHAREHOLDER: 1990 was a very good year for New England Electric System. The highlight ws our reversing a portion of the $179 miluon written off in 1988, which increased our 1990 earnings by

                                                                                $115 million. This was made possible by the commercial operation of the Seabrook 1 nuclear unit.

This oddition to our earnings increased the base on which we are allowed to earnin the future and, when netted against the five

cent per shore loss from the disposition of our energy management n: , yc subsidiary, increased our earnings per share by $1.75. For 1990, gj it helped the System ochieve record earnings of $4.11 per overage bi' share and a 20.5 percent return on overage common equity, ' h Our 1990 earnings, excluding the nonrecurring S1.75, were 0N $2.36 per overage shore compared with $2.20 per shore earned in 1989 before a 16 cent nonrecurring gain. We achieved this improvement despite a regional recession, essentially flat - kilowatthour sales and almost five million more shores outstanding. There viere other successes os well. We brought the Hydro. Quebec Phase 2 transmission interconnection into commercial operation,10 percent under budget. Our Thermal lnitiatives pro-gram improved the availability of our fossil-fired power plants to 80 percent, their best combined performance on record. Our

Rowe, president Conservation 1.ow Foundation, continueJ to lead the nation and and chief executive officer contributed more than S4 million to pre-tox cornings. Perhaps most important, we are positioning ourselves to cope with the regional recession. Our demand forecasts are less opti-mistic than many, with declining kilowatthour sales projected for 1991 and little or no recovery expected in 1992; our operating expense budgets are commensurately tight. We have deactivated one of our oldest and least efficient generating facilities, the 100 megawatt (MW) South Street Station. By planning carefully and working closely with labor organizations, we expect to realize substantial savings from deactivating this plant without putting the offected employees out of work. To meet federal' requirements, we also plan, as necessary, to install burners that emit less NO,, and to make greater use of low sulfur fuels. These activities should allow us to achieve our shore of federal and state emission reduction requirements, many of them ohead of schedule, In addition, we plan to repower our Manchester Street plant in Providence, Rhode Island, thereby replacing 140 MW of old and inefficient oil-fired capacity with 450 MW of clean, state of the ort, gas-fired combined cycle capacity. This $600 million project is our largest single capitol commitment.     - because the System had converted about 1,400 MW, or about half of our fossil-fired capacity, from oil to cool ofter the oil price shocks of the 1970s. In 1990, our resources and fuel diversity were further strengthened by our shores of Seabrook 1, Hydro-Quebec

In 1990, we invested $71 million in C&LM programs and sur-

On June 30,1990, the unit was rebased'o the New lngland Power Pool for central dhpotch of electrkity and thereby entered commercial ser vke N E P's rate recovery of its investmeniin Seabrook I hos been resolved thiovgh two separate rate settlement agreements The fit st of these two settleinents was o 1988 ogreement. This agreement resolved allissues related to NE P's pre-1988 investment in the unit and settled a number of other rate issues outstonding at that time. The 1988 settlement initially limited N E P's recovery of its pre-1988 investment in Seabrook I to $61 mih lion per year for seven pars and five months, commencing in March 1988.1he settlement also provided that upon the unit entering c ommercial servke, N E P would be allowed to collect on additional 516.0 mdlion per year ior hve year 5, subject to eeductions if the N RC's operating ikense ior the unit contained any power output level restrictions.
