(Comanche Peak Steam Electric Station, Units 1 and 2), Docket Mos. 50-445 and 50-446 Gentlemen:

This will advise the Board that on September 8, 1982, an application for approval of a corporate reorganization of Dallas Power & Light (DP &L) , Texas Electric Service Company (TESCO) and Texas Power & Light (TP&L) was jointly filed by those three companies with the Public Utility Commission of Texas. The companies have asked the PUC to review the proposed changes and determine that they are in the public interest. This application is the first step in the implementation of a reorganization plan which is expected to take at least one year.

The reorganization will result in the establishment of a single electric utility corporation with four divisions (DP&L, TESCO, TP&L,and Texas Utilities Generating Division primarily responsible for power plant design, engineering, construction and operation). The new electric utility company, together with several other companies, will all be separate subsidiaries of Texas Utilities Company.
