STIPULATION Louisiana Power & Light Company (hereinafter "LP&L") and the Louisiana Consumer's League, Inc. (hereinafter "LCL"), hereby

stipulate and agree as follows:

I.

LCL, on behalf of its members, has intervened in the U.S.

Nuclear Regulatory Commission operating license proceeding, Docket No. 50-382, for the Waterford Steam Electric Station, Unit 3 (hereinaf ter "Waterford 3'-), a nuclear power plant being constructed by LP&L.

II. '

In this proceeding, LCL has raised a number of contentions about the adequacy of LP&L's~ plans and procedures for operation of Waterford 3 and about Waterford 3's denign, particularly in light of an accident which occurred at Three Mile Island Nuclear Station, Unit 2 (hereinafter "TMI-2"), on March 28, 1979.

LP&L and LCL have exchanged discovery requests and responses concerning the LCL contentions and have held meetings and discussions, which have resulted in a further exchang'e of views and information.

On the basis of these exchanges of views and information, on the basis that LP&L will so construct its two independent transmission lines which supply offsite power for Waterford 3 that at the point where the lines between the existing LP&L switchyard and Waterford 3 switching station cross the Missouri Pacific Railroad Company rail-road tracks, there will exist 600 feet of physical separation, and 8110270144 811015' PDR ADOCK 05000382 G

. on the basis that LP&L will establish and implement prior to attaining 5% power at Waterford 3 a nuclear oversight committee as described in Section III below, LCL's concerns are met and LCL will withdraw all of the cor.tentions it has advanced in this proceeding and will withdraw as a party to the proceeding.

Further, LCL shall not in the future petition the NRC to percit litigation of any of the issues which would have been litigated in the operating license proceeding but for LCL's withdrawal.

III.

1.

LP&L shall establish a three-menber nuclear oversight e'

committee (hereinafter "Committe' ") made up of three persons approved by LP&L's Chief Executive Officer (hereinafter "CEO").

Two of them shall be selected by LP&L and shall be either LP&L officers or memberr, of LP&L management not directly associated with the operation of Waterford 3.

The other mercer shall be nominated by the Board of Directors of LCL.

The chairman of the Committee citall be one of the two members selected by LP&L.

LP&L's CEO reserves the right, for cause, to reject any proposed member nominated by the LCL Board of Directors and to remove at any time for cause any member of the Committee.

The Committee shall be responsible for independent review of LP&L's plans and procedures for the review of all Waterford 3 Licensee Event Reports (LERs) and the LERs of other operating commercial nuclear power plants with nuclear steam

. supply systems supplied by Combustion Engineering.

Periodically the>reafter, but at least annually, the Committee shall cause to be conducted an audit of LP&L's implementation of its plans and procedures for the review of all Waterford 3 LERs and the LERs of other operating commercial nuclear power plants with nuclear steam supply systems supplied by Combustion Engineering.

Committee members, upon reasonable request of LP&L's senior nuclear official, shall have access to that LP&L documentation necessary to conduct

their functions.

All documents and information designated as i

confidential or proprietary shall be held in confidence by Committee members, shall not be disclosed to persons outside LP&L, and shall not be used for purposes other than the Committee's functions as described herein.

The Committee shall report to LP&L's CEO the results of its initial review of LP&L's plans and procedures and the subsequent audits of LP&L's implementation of plans and pro-l cedures.

Committee members shall serve staggered three-year terms, the two LP&L nouinees initially appointed for 1 and 2 years respec-i tively and the LCL nominee initially appointed for 3 years.

Committee members may be reappointed, l

The Ccmmittee shall ass.ess at three-year intervals the l

l desirability and worth of its continuing its functions.

The l

results of this assessment shall be reported to the LP&L CEO who shall have the power to act on any unanimous Committee recommenda-tion that the Committee's existence be discontinued.

. 5.

Committer meetings may be called by the Chairman at any time or by vote of the two remaining members.

Committee action shall require a vote of two of the Committee's three members which shall constitute a quorum, as well.

6.

Committee members, except.for those full-time employees of LP&L, shall receive not less than $75.00 per diem for each day the Committee meets.

Travel expenses shall be reimbursed according to prevailing LP&L procedures.
