Site Emergency f r det.111s .

General Emergency Technical Support Center - An onsite facility utilized to eval-unte plant status by knowledgeable personnel in support of short-term operations during an emergency.

Plant Operations Center - The onsite facility designated for reactor plant operations support personnel to report in an emergency situata.on.

Emergency Operations Center (sometimes called the Crisis Manage-ment Center or Emergency Control Center) - The near-site facility utilized for direction and control of all emer-gency long-term operations and activities. Emphasis is on coordination of offsite activities, such as dispatching mobile emergency monitoring teams , ccmmunications with local, state, and federal agencies, and coordination of corporate and other outside support. ,

Emergency Response Center - B&W's facility for single-point control of home office and corporate resources in support of our utility custo'mers during emergencies.

Emergency Response Team - That portion of the B&W Emergency Response organization that travels to the affected site to provide first-hand B&W NSS operations knowledge and ex-pertise.

2. SCOPE AND APPLICABILITY This document defines the basic requirements and operational scheme for the Emergency Support Facilities and manpower re-sources of The Babcock & Wilcox Company (B&W)'in support of its utility customers. This capability is considered a t)ecessary adjunct to the Emergency Response Plans being implemented by utilities at their nuclear power plant sites.

The initiating event for " emergency response" is a customer request for support via pre-established procedures discussed herein. Upon receipt of a call to action by a utility, the

organizational structure and the responsibilities defined herein supercede the normal organization for the duration of the support effort. .

3. EFERGENCY ORGANIZATION i

The Emergency Response Organization charted in Figure 3-2 is de-signed for efficient utilization of B&W's expertise and overall resources during short-term (several days) stress situations.

This is a full-response organization which takes over management from the Minimum Standby Force. The Minimum Standby Force (Fig-ure 3-1) is a select group weighted toward decision-makers with strong plant operations backgrounds. This group establishes contact with the affected site and becomes the hub of the total organization when all operations move into action.

4. EMERGENCY RESPONSE FACILITIES Emergency response facilities shall be established in Lynchburg, Virginia, to serve as a focal point for communications and for technical and licensing support of the utility. Specifically, B&W will:

Provide single-point ccmmunications with a 24-hour answering provision.

Upon customer request, staff the Emergency Response Center and assemble the Emergency Response Team.

Establish and maintain communications with the affected plant site to aid.in accident control and mitigation.

4.1. Emergency Resporse Center The Response Center ftoor plan is shown in Figure 4-1. It is' centrally located within the NPGD building'for quick access to all types of resources, e.g., personnel, files, documents, cop-iers, etc. All equipment shown in the Response Center is dedi-cated to the facility.

4.2. Support Equipmen_t_

The equipment provided for support of the Emergency Response Center is listed in Table 4-1. Note that some items are physi-cally outside the Center; in an emergency, that. equipment is dedicated to support the Response organization on a top-priority basis.

5.3. B&W Internal Communications The B&W contact calls the pre-designated Emergency Response Or-ganization as defined in Procedure EP-03, "B&W Emergency Internal Call Procedure."

5.4. Minimum Standby Force The Emergency Response Center Manager and the Minimum Standby Force shown in Figure 3-1 assemble for immediate site contact and (a^3h assessment of the state of the reactor and its transient charac-teristics. If the utility reports an unusual event, B&W func-tions in a standby mode. Other classes of emergencies all require the full Response Organization.

5.5. Traveling Squad The Emergency Response Team (Traveling Squad) is deployed by the Emergency Response Center Manager after discussions with the Service Support Manager and the utility representatives providing site feedback. Section 8, " Qualifications and Training," pro-vides more detailed information on the Traveling Squad. ,

B&W can provide the services of experienced NSS analysts who can study all data, including radiochemistry, ore thermocouples, and system parameters and provide a de-tailed evaluation of the core condition.

6.2. Reactor Diagnostics B&W can provide the services of experienced technicians and en-gineers and the support equipment required to obtain the neces-sary information to achieve the following:

6.8. Crafts B&W can provide welders, pipe fitters, machinists, and other skilled manufacturing personnel experienced in work with nuclear components and nuclear fuel.

6.9. Alliance Research Center The support available from the ARC can be classified in three major categories: chemical analysis, failure analysis, and hard-ware modeling of systems.

6.9.1. Chemical Analysis Personnel and equipment are available for all types of water analyses except radiochemistry. Quantitative analysis of ~%.

e concentration, from slurries down into the parts-per-billion range. The ARC can also perform gas analyses.

6.9.2. Failure Analysis The cause(s) of failure of pressure parts or structural members can be assessed by examining fracture surfaces and by metallog-raphy. Physical .roperties (tensile strength, fracture toughness, fatigue strength, creep, etc.) of metals can be determined. The corrosion resistance of metallic specimens can be measured by standard tests, by controlled environment in high-pressure /high-temperature autoclaves, or by electrochemical tests.

6.9.3. Hardware Modeling of Hydraulic Systems Facilities and p3rsonnel are available for rapidly constructing and operating hardware models of subsystems and components in a nuclear steam system. High-pressure flow loops (single- or two-phase) to examine stability, dynamic response, or gas solubility are examples.

7. SPECIAL PRODUCTS AND EQUIPMENT 7.1. Reactimeter The B&W Reactimeter is a Z-80 microcomputer designed specifi-cally for reactivity computations. This device could also be employed to gather and transmit small amounts (30 points) of data offsite during emergency situations. The system is port-able and could interface with a plant's patch panel to monitor hoy selected plant variables. This technology has been ex-panded for more general applications as described in section 7.2.

7.2. RECALL RECALL is a data acquisition and display system designed to ac- l) quire, store, analyze, and display key plant parameters. RECALL utilizes a Z-80 microcomputer with peripheral equipment. The analog input section is supported by a 12-bit A/D and a program-mable gain amplifier (PGA). The PGA allows signals from +10 mV full-scale to +10 volts full-scale to be accommodated. A digital cartridge tape provides mass storage for subsequent playback and analysis. The display system can display either real-time plant data or prerecorded data. A variety of peripherals can be used to display the data for analysis. Easy to use, self-prompting commands are utilized to allow operation of' the system without l specialized training. RECALL c'an be configured to accept a l wide range of plant inputs and " event" conditions.

Security training 8.2. Customer Interface Training of the Emergency Response staff members (home office and traveling team) is the responsibility of the Emergency Re-sponse Manager. It is his responsibility to ensuce that train-ing is organized and conducted on a frequency and with an inten-sity commensurate with the skills and experience of those individuals being trained.

Arkansas fluclear One - Unit 1 and 2 1.0 PURPOSE / SCOPE The purpose of this document is to define the Emergency Response Plan (ERP) for Bechtel Power Corporation (BPC),

in support of Arkansas Power & Light (AP&L) Radiological Emergency Response Plan (RERP) for the Arkansas 11uclear One Plant. The ERP would be implemented following an abnormal occurence at Arkansas Nuclear One which is ser-ious enough to cause AP&L to request BPC assistance on an emergency basis. It is the intent of BPC to have emer-gency assistance available to AP&L through this ERP on a 24 hour2.777778e-4 days <br />0.00667 hours <br />3.968254e-5 weeks <br />9.132e-6 months <br /> / day, 7 day / week basis as promptly as practicable after receipt of such request. The San Francisco Power Division (SFPD) is the responsible organization within BPC for the implementation of this plan.

2.0 ACTI'/ATIOt1 AND ORGANIZATIO!!

2.1 Activation The BPC Emergency Response Manager and Deputy Manager act as the contact for the activation of the Emergency Response Plan upon notification from the predesignated AP&L official (s). Those AP&L officials (s) having authority to activating this ERP will use the following activation code "I am requesting Bechtel assistance for a nuclear power plant emergency at Arkansas Nuclear One nuclear power plant". The names and phone numbers of the BPC Emergency Resp'onse Manager, Deputy Manager, and their alternates are as listed in Table 2.

On receipt of notification of activation of the ERP by an authorized AP&L official, the Emergency response Manager will first make an advisory notificati,on to the SFPD -

General Manager or, in hin absence, the Deputy General Manager. If neither is available, che* Emergency Response Manager has the authority to take appropriate action until the General Manager or Deputy General. Manager can be reached. The Emergency Ronponse Manager shall contact other BPC managers as appropriate to inform them that the ERP is being activated.

The ERT organization consists of an Emergency Response Manager, a Deputy Manager, a Division Of fice Response Team, and an Administration Team. The Emergency Response Team organization consists of individuals chosen on the basis of their familiarity and experience with Arkansas Nuclear One.

2.2.1 Emergency Response Manager and Deputy Manager The prime responsibilities of the Emergency Response Manager and Deputy Manager are to 1) manage the team personnel, 2) coordinate input from the Division's func-tional organizations, 3) interface with AP&L and 4) interface with Division and Corporate Management. Upon activation of the plan, the Emergency Response Manager will assemble the Emergency Response Team with the appropriate skills.

2.2.2 Division Office Response Team The Energency Response Manager will assemble the Division Office Response Team. One member of the ERT has been designated as the Office Response Team Supervisor. The team will, as appropriate, consist of members from the following areas:

Nuclear Systems Civil / Structural Nuclear Analyses Plant Design Mechanical Construction Control Systems Startup Electrical Material and Quality Service 2.2.3 Administration Team One member of the ERT has been designated as Team Admin-istrator. This person will be responsible for facilities and service support. Thie includes the transformation of facilities from their normal use and any additional logi5-tics needed of the ERT, as they occur during the emergency.

2.3 Plan Duration / Deactivation The implementation of the Emergency response Plan will continue until an authorized AP&L official directs Bechtel to terminato it.

,i 3.0 EMERGENCY TECIINICAL CENTER 3.1 . Facilities Existing SFPD facilities for the Arkansas Nuclear One Project on the 4th Floor at 221 Main Street, San Francisco, California will be utilized to support the execution of this plan.

The Emergency Technical Center contains the following equipment and documents:

1. Communications equipment including telecopier and speaker telephones.
2. All design documents including P& ids, FSAR, wiring diagrams and schematics.
3. Ready access to computers through remote timesharing terminals.
4. Administrative equipment (typewriters and copying machine).

N.J~ The Emergency Technical Center is capable of supporting approximately twenty-five (25) persons.

4.0 PLAN !!AINTENANCE 4.1 Drills and Exercises .

The San Francisco Power Division (SFPD) trill participate, as requested by AP&L, .in drills and exercises conducted as part of the Arkansas Nuclear One Radiological Emergency Response Plan (RERP). The SFPD participation may include:

1. Communication drills, including those conducted on off-hours.

" Annual exercises of the RERP.

3. Drills and training sessions conducted at Arkansas Nuclear One.

In addition, the Emergency Response Manager may initiate periodic drills involving only the BPC Emergency Response

Organization.

The evaluation shall include AP&L and SFPD evaluations of the SFPD response to drills and exercises at Arkansas Nuclear One. SFPD shall inform AP&L of the results of any audits and of any resulting rc. visions to the BPC Emergency Resporise Plc.n.

The results of such audits shall be documented.

4.3 Training The Emergency Resporsse Manager shall also hold periodic familiarization sessions and establish specific training based on feedback from these sessions. Key Team members should 1) visit the plant annually (preferably during refueling), 2) review significant changes in the plant, and 3) communicate with their counterparts in AP&L Emer-gency Response Organization. The scope of such training will be coordinated with AP&L.

5.0 COMMERCIAL BASIS All assistance and services furnished by Bechtel under this plan will be pursuant to and in accordance with the terms and conditions of the General Services Agreement between AP&L and Bechtel.

Initial contact with the C-E Energency Response Organization can always be made through the C-E Security Force. Ilowever, during nomal C-E working hours it will be more efficient to contact your Project !!anager in Windsor. The Security Force Supervisor will have no knowledge of nuclear plants, but is required to obtain certain infomation to assure proper and rapid C-E response. Your i Project }!anager is familiar with the Plan.

II. The attached DERGENCY IhTOPJt\ TION fom lists the infomation that the C-E Security Supervisor is required to obtain. If he fails to ask for this infomation, you should provide it and assure that he records it. Your C-E Project ?!anager will require the sane infomation but may request additional event description to expedite C-E response.

Emergency Response Voluntary Assistance Agreement

.This Nuclear Power Plant Emergency Response Voluntary Assistance Agreement (hereinafter " Agreement")

has been entered into by and among electric utilities which have responsibility for the construction or operation of commercial nuclear power plants under a license issued a

by the U.S. Nuclear Regulatory Commission pursuant to Title 10 of the Code of Federal Regulations (hereinafter " nuclear power plants") and which have subscribed counterpart signature pages in the form attached hereto (hereinafter

" Parties").  ;

The Parties wish to set forth herein their understanding and agreement with respect to their mutual undertaking to each other in the situation wherein an emergency occurs at a nuclear power plant under'the control of or operated on behalf of a Party and a request for assistance is issued to another. Party hereto in respect to such emergency and such assistance is provided. This .

Agreement is intended only to define the terms and condi-tions under which such .tssistance, if volunteered, will be rendered and received. It is understood that this Agreement does not impose any obligation on any Party to render or continue to render any such assistance but this Agreement does record the understanding of the Parties with

respect to the rights and obligations which.will be incurred in responding to requests for assistance.

NOW,'THEREFORE, it is agreed, that:

1. Assistance rendered by a Party as described hereunder shall be entirely voluntary and, when given in response to a request by any Party for help following an emergency arising at a nuclear power plant, sha11 be rendered in accordance with the terms and conditions herein.
2. The Party that requests assistance shall be known as the " Requesting Company" and the Party furnishing assistance shall be known as the " Responding Company."

i Company shall be those of the Responding Company. Work procedures, security and safety rules for such personnel shall be those of the Requesting Company.

(c) Unless otherwise agreed, all personnel of the Responding Company shall be equipped by the Responding Company with such normal working and protective equipment as shall be compatible with the circumstances under which said personnel snall function hereunder; Requesting Company shall inform Responding Company of any specific equipment which may be required in a particular situation. -

5. (a) Responding Company shall furnish the Om d/

(b) Any information which Responding Company isb may provide to Requesting Company (including drawings, reports and anal;ises), or which Requesting Company provides to Responding Comp'any, which either the Responding Company or the Requesting Company considers proprietary or confi-dential, shall be so designated. Such proprietary informa-tion snall be held in confidence and shall be used exclu-sively in connection with the emergency at the nuclear power plant at which'the emergency has occurred (including (3 - u necessary disclosures on a proprietary basis to others

r a in that connection) and shall not be published or otherwise )

disclosed to others, except as may be required by law.

(c) Responding Company shall have the right, at any time and in its sole judgment and discretion, to withdraw personne1 and equipment furnirhed to the Requesting Company and return such personnel and equipment to its working base. Without limiting Responding Company's rights under the preceding sentence, Responding Company shall attempt to schedule any such withdrawal of its personnel or equipment to acccamodate the needs of Requesting Company.

Responding Company shall give written notice at least 24 hours2.777778e-4 days <br />0.00667 hours <br />3.968254e-5 weeks <br />9.132e-6 months <br /> in advance to Requesting Company of the permanent withdrawal of personnel or equipment furnished. Responding Company's withdrawal of personnel or equipment shall not affect any obligations which may have been incurred here-under prior to such. withdrawal or which may arise out of q events occurring prior ~to such withdrawal.

6. All time sheets and work records pertaining '

to Responding Company personnel.and equipment shall be kept by the Respondi'ng Company. The Responding Company shall furnish the Requesting Company with a detailed statement of l

t the Requesting Company, which statement shall be paid by Requesting Company within thirty (30) days after receipt.

7. The Requesting Company shall reimburse Responding Company for all direct and indirect costs and expenses, not including a profit, incurred by Responding Company in giving assistance pursuant to this Agreement, including but not limited to costs and expenses related to or resulting from compliance with governmental requirements such as Title 10 of the Code of Federal Regulations Part
20. Such costs and expenses shall be computed in accordance with Respnnding Company's standard rates and accounting practices including such o.verheads as are determined by Responding Company to be applicable to such direct and indirect costs and expenses incurred by Responding Company.

Requesting Company shall have the right to audit the records of Responding Company relative to work performed pursuant to this Agreement.

8. (a) In addition, and subject to the provisions of paragraph 8(b) hereof, Requesting Company shall indemnify and hold Responding Company, its officers, directors and

' employees, jointly and severally, harmless from and against any and all liability or loss, damage, cost or expense which any of them may incur by reason of bodily injury, Sei including but not limited to death, to any person or L.

furnishing assistance pursuant to this Agreement, whether due in whole or in part to any act, omission, or negligence of Responding Company, its officers, directors or employees.

(b) Where payments are made by Responding Company or its insurers to Responding Company's officers, directors or employees or their beneficiaries for bodily injury or death resulting from furnishing assistance pursuant to this Agreement, including but not limited '

to workers' compensation, disability, pension plan, medical and hospitalization, or other such payments, Requesting Company shall make reimbursement to Responding Company to i

l the extent such payments increase the Responding Company's employee-related costs, whether such increase in costs occurs in the form of an increase in premiums oc contribu-tions, a reduction in dividends or premium refunds, or otherwise. Requesting Company shall.also reimburse Responding Company for any deductible amounts or for any amounts paid by Responding Company as a self-insurer. Responding Company will request its insurer to waive any right of 1

subrogation it may have against Requesting Company as a -

result of any payment described in this paragraph 8(b) which such insurer may make on behalf of Responding Company because of Responding Company's furnishing of assistance pursuant to this Agreement ~.

(c) Responding Company makes no warranty with respect to any goods or services provided to Requesting Company and NO WARRANTY, EITHER EXPRESS OR IMP!IED, ORAL OR WRITTEN, SHALL APPLY TO THE GOODS OR SERVICES PROVIDED, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANT-ABILITY AND OF FITNESS FOR SPECIFIED OR INTENDED PURPOSE.

(f) In the event a Responding Company provides 6- -

assistance pursuant to this Agreement through an affiliate.or subsidiary, the indemnification provided in this paragraph 8 to the officers, directors and employees of that Responding Company shall apply with equal force to the officers, directors and employees of that affiliate or subsidiary.

9. Each Party shall provide the Insti,tute of Nuclear Power Operations (hereinaf ter "INPO") w'ith an l executed counterpart signature page to this Agreement and to any amendments hereto. This Agreement shall become ef fective when counterpart signature pages executed by at l

If INPO does furni'sh such assistance and unless o.therwise agreed by INPO and the Requesting Company, the Requesting Company and INPO shall have the same rights and obligations as if INPO were a Responding Company (including but not limited to the Requesting Company's obligations to INPO, its of'ficers, directors and employees under paragraph 8 hereof), except .

that paragraphs 6 and 7 shall not apply either to Requesting Company or INPO and paragraph 8(e) shall not apply to INPO.

11. This Agreement will not create any rights or l defenses in favor of any entity or person not a signatory to this Agreement except to the extent provided in this paragraph and in paragraphs 8 and 10 of this Agreement.

This agreement shall be binding upon and inure to the benefit of each signatory to this Agreement and the subsidiaries and affiliates of each such signatory. ,

12. Except as otherwise provided in paragraph 13, any Party may withdraw from this Agreement upon at least thirty (30) days prior. written notice to INPO with a copy to all of the other Parties. Notice of withdrawal shall not affect any obligations which may have been incurred hereunder prior to the effective date of such notice or which may arise out of events occurring prior to that date. No Party may withdraw from 'this Agreement while 1

it is receiving assistance pursuant to this Agreement.

13. This Agreement may~be amended by the agree-ment of.a majority of the Parties hereto. Such" amendment shall be effective and bir. ding upon all Parties thirty (30) days after INPO has received counterpart signature pages for. the amendment executed by at least a majority.of the Parties to the Agreement. INPO shall notify all Parties when at least a majority of the Parties have executed an amendment

15. In the event (i) an emergency occurs at a -

The order on the face hereofis placed in accordance with and subject to the fo!!owing terms and conditions:

1.The term " buyer" as used herein means the person, corporation, partnership, association, firm or other ore 2nization placing this order. The term " Government" means the United States of America.The term" DOE"means the Department of Energy.The phrase " persons acting on behalf of the DOE" includes employees and contractors of DOE and employees of such contractors who fdl or participate in the filling of this order pursuant to their employment or their contracts with DOE.The term" DOE facility" means a laboratory, plant, or office operated by or on behalf of DOE. The term " Contractor" means a contractor of DOE performing all or part of the work under this order.

2.The bayer understands and agrees that DOE may fulfill its obligations under this order through the operator of any ofits facilities.

Unless otherwise provided for on the face of this order, materials and services are furnished at prices and service fees as fixed by DOE and in effect on the date of shipment of materials or performance of the services or,where specific prices are not in effect, at prices and service fees computed in accordance with DOE Pricing Policy. Prices in catalogs issued by DOE or the operator of any -

DOE facility are subject to change without notice. Payment for materials and for services rendered shall be made in general prior to shipment of materials or performance of services. When the pnce has not been previously established (for example,when based on performance time) payments shall be made promptly upon receipt of bilhng in accordance with instructions furnished therewith.

The buyer shall pay interest at the rate of 12 percent per annum on all amounts not paid within thirty days from date ofinvoice.

4. When shipment of mater al pursuant to this order requires the use of returnable Government. owned containers, title to such contamers shall remam in the Government. If requested by DOE, the buyer will make a deposit to ensure return of the containers.

The buyer will keep the containers in good condition, will nut use them for any materials other than the materials shipped therein, and will return them to the point of shipment, transportattun prepaid, within thirty days from the date of receipt of the shipment.

S. Material covered by this order will be shipped f.o.b. the DOE facility from which the orderis filled, provided that,in tase of shipment by rail, f.o.b. shall mean delivery to the nearest railhead of the transport.ing carrier. The cost of postage for ordinary m parcel post, where used,is included in the charge for material or services and wdl not be billed separately.

6. Title to material sold under this order shall pass to the buyer when such material is delivered to the carrier.
7. No proprietary data will be accepted by DOE or its contractors in connection with this order.
8. a. Neither the Government, the DOE, the Contractor nor persons acting on their behalf will be responsible for any injury to or death of persons or other living things or damage to or destruction of property or for any otherloss, damage orinjury of any '

b.Neither the Governrnent, the DOE, the Contractor, nor persons e,cting on their behalf makes any warranty express or m implied (1) with respect to the accuracy, completeness or useftilness of any information furnished hereunder,(2) that thei use of any such information may not infringe privately owned rights,(3) that the services, materials, or information fumished hereunder will not result in injury or damage when used for any purpose,(4) that the services, materials orinformation furnished hereunder will accomplish the intended results or are safe for any purpose including the intended purpose, or (5) that materials accepted for analysis or other service will not be destroyed, lost or otherwise altered in physical or chemical properties.

c.Neither the Government, the DOE, the Contractor, nor persons acting on their behalf will be responsible, irrespective of causes, for failure to perform the sirvices or fuinish the materials or information hereunder at any particular time or in any specific manner.

d.The buyer agrees to indemnify and save harmless the Govermnent, the DOE, the Contractor, and persons acting on their behalf from (1) allliability, including costs and expenses incurred, resulting from the buyer's use or disclosure of any information in whatever form, furrushed hereunder, and (2) allliability to any person including the buyer for injury to or death of persons or other hving things or injury to or destruction of paperty arising out of performance by the Government, the DOE, the-Contractor, or persons acting on their behalf, and nut directly resulting from the fault or negligence of the Government, the DOE, the Contractor, or persons acting on their behalf, or arising out of the use of the services performed, materials supplied, or information given hereunder by any person including the buyer. The foregoing provisions shall have no application to public listnlity for nuclear incident as defined and provided for in the Atomic Energy Act of 1954, as amended.

c.The buyer agrees to indemmfy the Government, the DOE, the Contractor, and persons acting on their behalf against liability of any kind (including costs and expenses incurred) for the use of any invention 'or discovery and for the infringement of any Letters Patent (not including hability, arising pursu. int to Section 183, Title 35, [19521 U.S. Code, prior to the issuance of l_ citers Patent) occurring in the performance of this order.

12.The buyer certifies that the analysis or other work requested cannot be conducted in private facilities or with private equipment that is reasonably available.

13.The buyer warrants that no person or selling agency has been employed or retained to solicit or secure this order upon an agreement or understanding for a commission, percentage, brokerage, or contingent fee, excepting bona fide employees or bona fide established commercial or selling agencies maintained by the buyer for the purpose of securing business. For breach or violation of this warranty the Govemment shall have the right to annul this order without liability or in its discretion to deduct .

II. Objectives The objectives of the Plan are to provide, as available, to

(a) skilled technical or management personnel to ass.* at the affected plant; .

(b) supplies or eculpcent needed for effective accident management; ,

(c) design, engineering or other te'chnical advice on operation or recovery of the. plant during an emergency; and (d) assistance during ecergency plan dril2s or exercises.

III. Scope h-1 r

l\e The assistance to be provided by member utilities vill be limited to that specified in Section II above, when availabic; and will te provided only to support an actual emergency, drill or exercise. . .

l IV. Concept of Operations In the event of a nuclear plant emergency, the Plan call.-cut list as described in Section V will be used to request available assistance. The points of contact will be designated corporate of ficials who will, in turn, ar. range for the availabic personnel or equipcent to be provided to the requesting facility.

In order for a menber utility to receive available assistance I for emergency plan drills or exercises, it will be necessary to request this assistance in writing. The request should be directed to the individual responsible for nuclear power operations and should delineate the number of personnel ,-

requested, the approxicate length of time they will be needed and area of expertise desired. This request should be received at least 30 days prior to any drill or exercise. ,

Consequently, there should be an understanding of the rights and obli,gations which uill be incurred in requesting and responding to requests for assistance under this Plan. These rights and obligations are set forth in Section VII below and constitute an integral part of this Plan.

VII Richts and Obligations Agrec=ent.

The ce=ber utilities (herein for thisSection VII called the

" Parties") vish to set forth herein their understanding and agrec=ent with respect to their cutual undertaking to each other l in the situation wherein an emergency occurs at a cot =ercial l nuclear power plant licensed by the U.S. Nuclear Regulatory l Co missica pursuant to Title 10 of the Code of Federal Regulations (herein"fixedfacility")[underthecontrolofor operated on behalf of a Party and a request for assistance is issued to another Farty hereto in respect to such emergency and such assistance is previded. This Agreement is intended only to define the terms and conditions under which such assistance, if volunteered, will be rendered and received. It is understood that this Agree =ent does not impose any obligation on any Party to render or continue to render any such assistance but this

1. Assistance rendered by a Party as described hereunder shall be entirely voluntary and, when given in response to a request by any Party for help following an coergency arising at a fixed facility, shall be rendered in accordance with the terns and conditions herein.
2. The Party that requests assistance shall be known as the '
  • Requesting Company" and.the Party furnishing assistanc shall be known as the " Responding Company." Attachment A is a suggested letter confirming an agree =ent whereby assistance is being furnished pursuant to this Agree =ent.
3. (a) Requesting Company shall notify Responding Company of the type of assistance requested and the anticipated duration during -

which such assistance is desired. Responding Company shril furnish such assistance as it may decide. Except as- the Parties may agree otherwise, Requesting Company shall be responsible for deter =ining the ,

procedures to be followed relative to the furnishing of such assistance and for caking any reports to governmental authorities and the news cedia regarding the ecergency or the furnishing of assistance pursuant to this Agreement.

(b) The furnishing of assistance hereunder shall be deeeed to have co==enced when personnel of the Responding Co=pany are assigned to other than normal duties or transportation of equip =ent co==ences pursuant to a deter =ination by the Responding Co=pany to provide assistance to a Requesting Co=pany under this Agrec=ent and shall be deemed to have ter=inated when the transportation of such personnel or equip =ent back to their working base or home (for personnel returning at other than regular working hours) is co=pleted.

(c) The Responding Co=pany shall make all arrange =ents for

' the transportation of its personnel and equip =ent fro and to their working base or ho=e.

4. (a) E=ployees of Responding Cc=pany shall at.all ti=es continue to be e=ployees of the Responding Co=pany and shall at no ti=e and for no purpose be dee=ed to be servants, agents, e=ployees, or representatives of the Requesting Co=pany, except that with respect to clai=s arising under Louisiana Law c=ployees of the Responsing Co=pany shall be dee=ed c=ployees of the Requesting Co=pany for the sole purpose of limiting the Requesting co=pany's liability, if any, to e= ploys..; of the Respc= ding Co=pany to work =en's co=pensation. The Responding Co=pany assu=es the principal obligation to pay work =an's co=pensation subject to the provisions of Paragraph 8(a).

(b) Wages, hours and other ter=s and conditions of e= ploy =ent Q applicable to personnel of the Responding Co=pany shall be those of the '

Responding Company. Work procedures and safety rules for such personnel shall be those of the. Requesting Cc=pany.

(c) Ali personnel c'f the Responding Co=pany shall be equipped by the _ Responding Co=pany with such nor=al working and protective equipment as shall be compatible with the circumstances under which said personnel shall function hereunder; Requesting Co=pany shall '

5. (a) Responding Cc=pany shall furnish the requested personnel and equip =ent to the extent that the Responding Co=pany =ay deter =ine to do so in its sole judge =ent and discretion.

(b) Any infor=ation which Responding Co=pany may provide to

Requesting Company (including drawings, reports and analyses), or which Requesting Co=pany provides to Responding Co=pany, which either the ,s Responding Co=pany or the Requesting Co=pany considers proprietary or confidential, shall be so designated. Such proprietary infor=ation shall be held in confidence and shall be used exclusively in connection with the emergency at the fixed facility at which the e=ergency has occurred (includir.3 necessary disclosures on a proprietary basis to

others in that cennection) and shall not be published or otherwise disclosed te others. Should any preprietory or confidential infor:atic: is required by any adcinistrative agency, court, or

@;. legislative body. under subpoena or otherwise, the Responding Co:pany shall give reasonable notice to Requesting Co:pany. Thereafter, it shall le the s:le obligation of Requesting Co:pany at its sole cost and expense to use its best efforts to oppose disclosure of any proprietory or confidential infor ation.

(c) ?esponding Cocpany shall have the right, at any time and

'in its sole judge:ent and discretion, to withdraw personnel and equip ent furnished to the Requesting Co=pany and return such personnel

Without liciting Responding Ccapany's rights under the preceding sentence, Responding Co:pany shall atte=pt to schedule any such withdrawal of 1ts personnel or equipment to accc:=odate the needs of Requesting Co=pany. Responding Co=pany shall give written notice to Requesting Co=pany of the withdrawal of personnel or equip:ent furnished .

6. All ti=e sheets and work records pertaining to Responding Company persen el and equipcent shall be kept by the Ecsponding Ccapany. The Responding Cocpany shall furnish the Requesting Cc=pany with a detailed state:ent of all costs and expenses paid or incurred by the Responding Co=pany in connection with the furnishing of assistance to the Requesting Cc=pany, which statement shall be paid by Requesting

,Co:pany within thirty (30) days af ter receipt.

( } 7. The Requesting Cc=pany shall rei= burse Responding Co=pany for

Such costs and expenses shall be co=puted in accordance with Responding Cocpany's standard rates and accountics practices including such overheads as are deter:Ined by Responding Cocpany to be applicable to such direct and >

indirect cos:s and expenses incurred by Responding Co=pany.

(.2 ) In addition, Eequesting cc=pany shall indecnify and hold Responding Cce;any, its officers, directors and coployees, jointly and severally, har less f rom and against any and all liability or l'oss, datage, cost or expense which any of the: =ay incur by reason of personal injury, including but not litited to death, to any person or persons, or by reason of datage to or destruction of any property, including bu not li=ited to any property located at the site of the Requesting C.::pany's fixed facility or the loss of use of any property, .-

(b) Responding Cc=pany =akes no varranty with respect to any goods or services provided to Requesting Co=pany and NO FARRANTY, EITHER EyPPISS OR IMPLIED, ORAL OR WRITTEN, SEALL APPLY 0 TEE GOODS OR SERVICES PROVIDED, INCLUDING THE WARPANTIES CF MERCHACAEILI~Y AND OF FITNESS FOR SPECIFIED OP. INTENDED PURPOSE. All equip =ent and services furnished pursuant to this Agreement are furcished as is.

(c) In the event any clai= or decard is =ade or suit, action or proceeding is filed against Responding Co pany, its officers, 1 directors or e=ployees, jointly or severally, alleging liability for which Requesting Co=pany shall inde=nify and hold har=less responding Co=pany, its of ficers, directors and e=ployees under paragraph 8(a) hereof, Responding Co=pany shall pro =ptly notify Requesting Co=pany thereof, and Requesting Co=pany, at its sole cost and expense, shall settle, co= promise or defend the sa=e in such =anner as it in its sole discretion dee=s necessary or prudent. Responding Co=pany shall cooperate with Requesting co=pany in the,reso'lution of any such =atter.

(d) Each party to this Agree:c t agrees to carry the a=ount of financial protection required by the Ato=ic Energy Act of 1954, as a= ended, and self-insurance or comprehensive liability insurance, including contractual liability coverage, covering the inde=nification and defense obligations set forth herein, subject to such types and a=ounts of self-insurance, retentions or deductibles as are consistent with good business practice in the industry.

9. This Agree =ent shall re=ain in effect as to any Party until ,-

such Party has withdrawn fro = the Agrec=ent as provided below.

Withdrawal from the Agreecent shall also constitute withdrawal from the Plan.
