Dear Mr. Caudle:

COMANCHE PEAK STEAM ELECTRIC STATION UNITS NO.1 AND NO. 2 It has come to our attention that Texas Power and Light Co. has entered into an agreement with Tex-La Electric Power Cooperative for the sale of a 4.33% ownership interest in the above captioned nuclear facility.

Pursuant to the Commission's Rules and Regulations (10 CFR 550.80 and/or 550.90, as appropriate) any amendment of a license or construction permit or any transfer of a license must fully discuss the changes proposed and follow as far as applicable the form prescribed in 10 CFR 62.101 for original applications.

The antitrust information required by the Comission to either amend or transfer a construction permit or operating license is described in 10 CFR 550.33a.

In order to expedite the processing of either an amendment or a transfer, it is suggested that the antitrust information for each new participant be submitted to the Comission through the lead applicant.

The Attorney General has a statutory requirement to furnish antitrust advice to the Commission on the new owners within six months after receipt of the antitrust infonnation.

Our review and notice requirements requires an additional two months to process the antitrust infonnation and Attorney General's advice. We therefore urge you to supply the required information as soon as it is reasonably certain that additional owners will be participating in the plant.
