It owns 100% cf the Oyster Creek Nuclear Generating Station
("CCNGS") in Lacey Township, Ccean Ccunty, New Jersey and 2
cperates the same pursuant to an NRC cperating license..It also cwns an undivided 25% interest in the Three Mile Island Nuclear ' Generating Station ("TMI")

in stages.
As the initial stage of i=ple=entatien, it is preposed that GPUNC will assume, prc=ptly upon the obtaining of requisite regulatery authorizations, responsibility for the decontamination, operatien and =aintenance of the TMI units.
It is anticipated that, at a later date, GPLTC will assu=e cc= parable responsibility for the OCNGS, to the extent apprcpriate.

The owners of TMI propose at this ti=e to enter into an agreement with GPUNC respecting the sharing of capacity and energy, and providing for the operation, dispatch, =aintenance and other =atters pertaining to the operation and =aintenance of TMI Units 1 and 2, for appor-tiening the costs thereof and for rehabilitating and =aking repairs, =cdifications and changes in the TMI units and to
=
=ake all additions,thereto and retirements therefrom as needed and when autheri:ed as provided in the agreement.
Met-Ed and Penelec prepose to file the agree =ent with the Pennsylvania Public Utility Cc==ission pursuant to Section 701.1 of the Pennsylvania Public Utility Law.
A copy of such preposed agree =ent is annexed herete as Exhibit A.
The preposed agree =ent will supersede the agreement a=cng the 21: Cwners dated Septe=her 27, 1978, respecting the cpera-tien and =aintenance cf the TMI units currently in eff ect.

The proposed agreement will not change the I
cwnership of the generating units involved, does not viciate the laws of this State er cf the United States, the ecsts prcvided thereunder do not exceed actual costs and over-heads, and such agree =ent will not involve the abanden=ent l

heads, and such agreement will not involve the abandonment er surrender of any service er any sale, lease, encumbrance er transfer of the possession or use of any tangible or intangible prcperty, franchises, privileges or the rights of the cwners of the TMI units, all of which will remain vested in the present cwners thereof who will make use of the staff
. and facilities of GPUNC in e= ploying such generating facili-ties in the public service.
Such agreement will not limit in any way the existing or future authority of your Honor-

able Board with respect to the '"MI units and the same is not centrary Oc the public interest.

Jersey Central does not believe that the preposed operating agreement for TMI which is the subject of this petition is a "=anagement, advisory. service, construc-tien er engineering centract" within the meaning of N.J.S.A.
4 8 : 3-7.1 and, therefore, does not believe that approval of the same. is required by your Hencrable Board.
Ecwever, it is desirable that any possible questien as to the validity or effectiveness of such agreement be resolved and Jersey Central.has therefers filed this petition.
Wherafere, Jersey Central requests that this petition be dismissed for want of jursidiction or in the alternative, that the making of the proposed agreemedt' 'cy Jersey Central relating to the operation and maintenance of I
the TMI units be apprcved'.
