Dear Mr. Hendrie:
In keeping with your letter of January 30, 1978 in behalf of.
the Commission, the possibility of set-ling the special proceeding was pursued. As a result, the parties reach'ed a proposed settlement.

The terms and conditions of this proposed settlement are set forth in a pleading entitled "A!otion and Stipulation", dated 3Iarch 13,1978, which was executed by counsel for each party-in the special proceeding. A copy of this pleading is being for-l warded herewith inasmuch as.he proposed settlement, set forth
, therein, calls for the Commission's appro,al and in the opinion l
of the special board, the proposed settlement is deserving of.

If the Commission approves the propos.ed settlement, the
