Dear Sir:

Pursuant to the option described in the response of Arizona Public Service Company (APS) to Item 13 of the Information Requested by the Attorney General for Antitrust Review, Arizona Electric Power Cooperative, Inc.

(AEPCO) has notified the other Participants in Palo Verde Nuclear Generating Station (PVNGS) of the termination of its participation in PVNGS, because the scheduled dates for commercial operation of PVNGS Units 1, 2 and 3 are not compatible with its need for power in the early 1980's.

In due course, after the preparation and execution of the documents necessary to effectuate AEPCO's exercise of its option and the reassignment of its undivided 2.4~a interest in PVNGS to APS, Salt River Project Agricultural Improvement and Power District (SRP) and Southern California Edison Company (SCE) in the amounts of l~o 1~0 and 0.4~a, respectively, an application will. be submitted for amendment of Construction Permit Nos.

CPPR-141, CPPR-142 and CPPR-143 to reflect this change in ownership.
