SUMMARY

OF MEETING WITH COUNSEL FOR EL PASO ELECTRIC COMPANY On Wednesday, June 3,

1992, counsel for El Paso Electric Company met with NRC staff to discuss the implications for Palo Verde Nuclear Generating Station (PVNGS) of El Paso Electric Company's (EPEC) recent declaration of bankruptcy.

EPEC originally owned a percentage of PVNGS, but in 1986 and

1987, a portion of EPEC's ownership interests were sold to a designated financial institution, the Bank of Boston, and leased back from them by EPEC.

The purpose of this meeting was to initite discussions of issues that will have to be addressed as the bankruptcy case progresses.

For example, the possibility of transferring the license to the Bank of Boston, obtaining a new license for the Bank of Boston, or obtaining a new lessee for the ownership interests were discussed.

The meeting also focused on ensuring that one hundred percent of PVNGS would be accounted for, and that all of the licensing requirements would be met.

Further talks will be held with the counsel for EPEC and with Arizona Public Service as the bankruptcy case develops.
