By the referenced letter, Arizona Public Service Company

("APS"), as Project Manager and Operating Agent of the Palo Verde Nuclear Generating Station ("PVNGS"), filed an Appli-cation for Amendment to Construction Permits Nos. CPPR-141, CPPR-142 and CPPR-. 143 in the above-referenced docket numbers.

Such Application seeks in part the approval of the transfer by the Salt River Project Agricultural Improvement and Power District ("SRP") to the Southern California Public Power Authority ("SCPPA") of a 5.91% undivided ownership interest as a tenant in common with the other Participants in PVNGS, and the amendment of Construction Permits Nos. CPPR-141, CPPR-142 and CPPR-143 to reflect such transfer.

APS enclosed with the referenced letter the financial qualifi-cations information required by 10 CFR 550.33(f) and 10 CFR Part 50, Appendix C. Such information consisted of responses to eleven questions provided by the NRC Staff to APS and was contained in a separate document entitled "Palo Verde Nuclear Generating Station, Units 1, 2 and 3 (Docket Nos. STN 50-528/

529/530), Financial Information Regarding LADWP and SCPPA in Support of Application for Amendment to Construction Permits Nos. CPPR-141, CPPR-142 and CPPR-143" (hereinafter referred to as "LADWP and SCPPA Financial Tnformation").

APS provided in Appendix 2A of the LADWP and SCPPA Financial information a copy of the assignment agreement between SCPPA in substantially the form anticipated to be executed.
