Dear Ms. Diggs:
On July 31,
on its own behalf and as agent for all other Participants'n the Palo Verde Nuclear Generating Station (PVNGS),
filed an Applicatio'n for Amendment to Construction Permits Nos.
CPPR-141, CPPR-142 and CPPR-143.
Such Application sought (1) the approval of the Nuclear Regulatory Commission (NRC) to the transfers by the Salt River Project of a
5.91X undivided ownership interest in PVNGS to the Southern California Public Power Authority and 5.7X undivided ownership interest in PVNGS to the Los Angeles Department of Water and
- Power, and (2) the amendment of Construction Permits Nos.
CPPR-141, CPPR-142 and CPPR-143 to reflect such transfers.
By the referenced
- letter, you advised that the applicable filing fee for such Application is a
Class III fee in lieu of a
Class II fee.
The basis for your determination is that the review of such Application will involve financial and other considerations that are more than administrative or pro forms in nature.

's more fully set forth in the Application, the proposed amendments to the construction permits for PVNGS do not involve an unreviewed environmental impact or a "significant hazards consideration".
Thus, it is our opinion that the Application does not involve a significant safety or environmental issue for which a Class III filing fee is required.

PVNCS check in the amount of 42,800 pursuant to your request.
It is our understanding that if the NRC staff's final review of the Application reveals that a Class III fee is not
- required, we will be notified and an appropriate adjustment will be made.
