TRANSMITTAL OF DRAFT SAFETY EVALUATION REQUESTED LICENSING ACTION RE: ORDER APPROVING INDIRECT TRANSFER OF CONTROL (CAC NOS. MF8056 AND MF8057)

Dear Mr. Rausch:

By letter dated June 29, 2016 (Agencywide Documents Access and Management System (ADAMS) Package Accession No. ML16181A414), as supplemented by letter dated November 14, 2016 (ADAMS Accession No. ML16320A436), Susquehanna Nuclear, LLC (Susquehanna Nuclear), on behalf of itself and Riverstone Holdings, LLC requested approval of the indirect transfer of the Susquehanna Nuclear interests in Renewed Facility Operating License Nos. NPF-14 and NPF-22 for the Susquehanna Steam Electric Station (SSES), Units 1 and 2, respectively, as well as the general license for the SSES Independent Spent Fuel Storage Installation (ISFSI), from the current parent holder, Talen Energy Corporation, to Riverstone Holdings, LLC.

Enclosed is the draft Safety Evaluation (SE) that the U.S. Nuclear Regulatory Commission (NRC) staff has prepared to support the proposed indirect license transfer. The draft SE is being withheld from public disclosure at this time because it contains proprietary information pursuant to Title 10 of the Code of Federal Regulations (10 CFR), Part 2, Section 2.390.

Proprietary information is identified by text enclosed within double brackets as shown here (( ]).

The NRG staff requests that Susquehanna Nuclear provide comments regarding the proprietary content in the draft SE within 3 business days from the date of this letter. The response timeframe was discussed with Mr. Rocco Sgarro, of your staff on November 23, 2016.

Since the NRG review is not yet complete, this letter and the enclosure do not convey or represent an NRG staff position regarding the licensee's request. Should the indirect license transfer be approved, the NRG staff will issue a publicly available, nonproprietary version of the SE.

The Enclosure to this letter contains Proprietary Information. When separated from the Enclosure, this letter is DECONTROLLED.
