IN THE MATTER OF PPL SUSQUEHANNA, LLC SUSQUEHANNA STEAM ELECTRIC STATION, UNITS 1 AND 2, DOCKET NOS. 50-387, 50-388 AND 72-28 Consistent with the Commissions policy on notification of new, relevant, and material information in ongoing adjudications, the U.S. Nuclear Regulatory Commission staff hereby informs the litigants in the captioned matter that the staff has notified the Commission that it is prepared to issue orders and conforming license amendments approving the indirect transfers of Facility Operating Licenses No. NPF-14 and NPF-22 for Susquehanna Steam Electric Station, Units 1 and 2 (SSES), respectively, on or about April 7, 2015. A copy of the staffs April 2, 2015, Notification of Significant Licensing Action is enclosed.
This license transfer is in response to an application dated July 11, 2014, as supplemented on October 24, 2014, November 6, 2014, November 25, 2014, December 10, 2014, January 5, 2015, January 13, 2015, March 9, 2015, March 13, 2015, and March 18, 2015; the orders will approve the indirect transfer of control of the licenses for SSES.
The license transfer application is the subject of a request for hearing filed by Douglas B.
Ritter in this matter and is pending before the Commission at this time. The NRC staff is not participating in that litigation.

PROPOSED ISSUANCE OF ORDER AND CONFORMING LICENSE AMENDMENT APPROVING THE INDIRECT TRANSFER OF A LICENSE FOR WHICH A HEARING HAS BEEN REQUESTED This is to inform the Commission that the U.S. Nuclear Regulatory Commission (NRC) staff intends to issue orders and conforming license amendments on or about April 7, 2015, to PPL Susquehanna, LLC, and Susquehanna Nuclear, LLC, approving the indirect transfers of licenses for the Susquehanna Steam Electric Station (SSES), Units 1 and 2, and the general license for the SSES Independent Spent Fuel Storage Installation (ISFSI) . Conforming license amendments, approved by the orders, will be issued upon completion of the transfers . These actions are being taken in response to an application dated July 11 , 2014, 1 as supplemented by additional letters.2 The orders will approve the indirect transfer of control of the licenses for SSES . The indirect transfer of control results from a series of transactions in which PPL Corporation , PPL Susquehanna , LLC 's, ultimate parent, will spin off PPL Energy Supply, LLC, which holds domestic competitive generation and ancillary assets including PPL Susquehanna , LLC. The transactions will involve creation of and changes to intermediate holding companies with PPL Energy Supply, eventually becoming a direct subsidiary of a new intermediate parent named Talen Energy Holdings , Inc. Talen Energy Holdings , Inc.,
will be a direct subsidiary of a new, publicly-owned ultimate parent company named Talen Energy Corporation . Talen Energy Corporation would acquire ownership of PPL Corporation 's 90 percent interest in the SSES through its acquisition of PPL Susquehanna ,

time of the transfer, and will still hold the licenses for SSES . No physical changes to the facilities or operational changes are being proposed in the application.
As provided in Section 2.1315 of Title 10 of the Code of Federal Regulations, unless otherwise determined by the Commission with regard to a specific application, the Commission has determined that any amendment to the license of a utilization facility which does no more than conform the license to reflect the transfer action involves no significant hazards consideration.
No contrary determination has been made with respect to this specific license amendment application.
One request for a hearing has been filed by Douglas B. Ritter of Berwick, Pennsylvania.3 This hearing request is currently pending before the Commission. If granted , the hearing will not be completed prior to the issuance of the orders and conforming amendments.
The State of Pennsylvania has been notified of the pending actions.
