International SA Reference (a) informed the Nuclear Regulatory Commission that E.D.F. International SA will change corporate form to E.D.F. International SAS. We have been informed that this change occurred on May 2, 2011.
A Soci~t6 par actions simplifide (SAS) is an alternative corporate form under French law that allows for simplified and flexible governance.
Both SAS and soci~tds anonymes (SA) are stock corporations.
However, a SA is viewed as the appropriate corporate form for companies with multiple shareholders whereas a SAS is more appropriate for wholly-owned and closely-held subsidiaries, because of its flexible governance structure.
A SAS is generally viewed as an appropriate form for a subsidiary like E.D.F. International, which holds the international assets of the EDF group.
The primary reasons for the conversion to a SAS are to simplify the internal organization of E.D.F. International and to provide more flexibility in certain areas, such as the number of officers and decision making mechanisms.
