Dear Ms. Brock:
As I m ntioned in my letters dated January 31 and February 7, FENOC has asked the owners of documents that may contain proprietary information to review their documents and to supply FENOC with affidavits for any such document that the owners determine should be withheld from public disclosure. Consequently, in this letter I am forwarding to you:
- 1.
Affidavit of Terry Young, Director of Communications for the Institute of Nuclear Power Operations, requesting withholding from public disclosure the documents listed in the table attached to the affidavit; and
- 2.
Affidavit of Warren Bilanin, a Director of the Electric Power Research Institute, requesting withholding from public disclosure the documents listed in the table attached to the affidavit.
These are the last of the vendor affidavits responsive to your request to me dated November 9, 2005, and Christine Lipa's subsequent request to Mark Bezilla dated November 22, 2005. Please feel free to call me if you have any questions or would like to discuss these matters further.

I am the Director of Communications for the Institute of Nuclear Power Operations ("INPO") in Atlanta, Georgia. I have held this position continuously since May 2002, although during part of this time my title was "Manager of Communications." From January 1997 to April 2002, I served as a country manager and then as the Assistant to the Chair of the World Association of Nuclear Operators
("WANO") in Atlanta, Georgia, and London, England. In all, I have nearly twenty years of personal experience in the commercial nuclear power industry.
- 2.
As Director of Communications for INPO, I have been specifically delegated by the Chief Executive Officer of INPO the function of protecting INPO information and reports from public
disclosure. I have similarly been specifically delegated the responsibility of designing and implementing procedures for ensuring that INPO information and reports are held in confidence by INPO.
Finally, I am authorized by INPO to apply on its behalf for confidential treatment of its information and reports under 10 C.F.R. § 2.390.
- 3.
I have attached to this affidavit an index of 118 documents that I understand have been produced to the Commission by FirstEnergy Nuclear Operating Company ("FENOC"). These documents are all either events analysis reports prepared by INPO, such as Significant Event Notifications ("SENs") or Significant Event Reports ("SERs"),
or e-mail messages that are directly related to INPO's events analysis cornerstone program.
- 4.
Pursuant to a long-standing Memorandum of Understanding between the Commission and INPO, the Commission has full access to INPO events analysis reports, including those produced by FENOC as listed on the attached index.
- 5.
The Commission has consistently for at least the past two decades treated INPO events analysis reports as confidential and proprietary. E.g., Critical Mass v. NRC, 975 F.2d 871 (D.C. Cir.
1992) (en banc) (affirming Commission decision to withhold INPO events analysis reports under FOIA Exemption 4), cert. denied, 507 U.S. 984 (1993). On behalf of INPO, I request that the Commission continue to treat the INPO events analysis reports listed on the attached index as confidential and proprietary.

The e-mail messages listed on the attached index are all directly related to the INPO events analysis cornerstone program and are 2
therefore confidential and proprietary to INPO. Any public disclosure of these e-mail messages would undermine the effectiveness of the events analysis program in promoting improvements in the safe operation of nuclear plants. On behalf of INPO, I request that the Commission treat the e-mail messages listed on the attached index as confidential and proprietary to INPO.

The Proprietary Information set forth on Attachment A.
][, WARREN J. BILANIN, being duly sworn, depose and state as follows:
I am a Director at the Electric Power Research Institute, Inc. ("EPRI") and I have been specifically delegated responsibility for the Proprietary Information referenced above that is sought under this Affidavit to be withheld from public disclosure (the "Proprietary Information").
I am authorized to apply to the United States Nuclear Regulatory Commission (the "NRC") for the withholding of the Proprietary Information on behalf of EPRI.
Copies of the Proprietary Information were included in documents and information previously submitted by FirstEnergy Nuclear Operating Company ("FENOC") to (i) the NRC'S Office in the matter of NRC Investigation Case No. 3-2002-006, and (ii) the NRC's Augmented Inspection Team as part of the NRC's investigation into the reactor pressure vessel head degradation at the Davis-Besse Nuclear Power Station (the "FENOC Delivered Documents").
1 am informed that the NRC has informed counsel for FENOC that it is in the process of reviewing the FENOC Delivered Documents for public release. This Affidavit is submitted to the NRC pursuant to 10 C.F.R. §2.390.
IiPRI requests that, where indicated, the FENOC Delivered Documents containing Proprietary Information set forth on Attachment A be withheld from the public on one or more of the bases set forth below:
L.
Withholding Based Upon Draft Materials.
- a.
Many of the FENOC Delivered Document constitute documents in draft form. These drafts were prepared by EPRI and/or contain EPRI proprietary information. Draft documents were circulated to the participants of the EPRI Materials Reliability Program (the "MRP"), including FENOC, for review and comment prior to preparation of the final document.
- b.
EPRI requests that the documents identified as "Draft Materials" on Attachment A be withheld from public release. Footnote 1 of 10 C.F.R. §2.390 specifically excludes draft materials from the documents which may be made available to the public.
Furthermore, because of the draft nature of the materials identified as "Draft Materials" and the potential for significant variance from the final version of such materials, it could be confusing, as well as potentially seriously misleading, to the public if this draft material were made publicly available.

Material Previously Afforded Confidential Treatment By The NRC.
- a.
A number of the FENOC Delivered Documents were previously submitted to the ENRC by EPRI under an appropriate affidavit requesting that such documents be withheld from public disclosure.
The documents, as well as the date of the affidavit under which the submission to the NRC was made, are identified on Attachment A hereto (the "Prior Submission Documents").
- b.
The NRC previously granted EPRI's requests that the Prior Submission Documents be withheld from the public. Accordingly, EPRI requests that the copies of the Prior Submission Document included in the FENOC Delivered Documents be afforded the treatment previously granted by the NRC and that the Prior Submission Documents be withheld from the public.
- 3.
Withholding Based Upon Privileged and Confidential Trade Secrets or Commercial or Financial Information.
- a.
The Proprietary Information is owned by ERPI and has been held in confidence by EPRI.
EPRI delivered the Proprietary Information contained in the FENOC Delivered Documents to FENOC as a participant in the MRP. As a participant in the MRP, FENOC was subject to written agreements imposing an obligation upon FENOC to maintain the confidentiality of the Proprietary Information in its possession. The Proprietary Information is disclosed only to parties who agree, in writing, to preserve the confidentiality thereof.
- b.
EPRI considers the Proprietary Information to constitute trade secrets of EPRI.
As such, EPRI holds the Proprietary Information in confidence and disclosure of the information is strictly limited to individuals and entities who have agreed, in writing, to maintain the confidentiality of the Proprietary Information. EPRI made a substantial economic investment to develop the Proprietary Information and, by prohibiting public disclosure, EPRI derives an economic benefit in the form of licensing royalties and other additional fees from the confidential nature of the Proprietary Information. If the Proprietary Information were publicly available to consultants and/or other businesses providing services in the electric and/or nuclear power industry, they would be able to use the Proprietary Information for their own commercial benefit and profit and without expending the substantial economic resources required of EPRI to develop the Proprietary Information.
- c.
EPRI's classification of the Propriety Information as trade secrets is justified by the Uniform Trade Secrets Act which California adopted in 1984 and a version of which has been adopted by over forty states.
The California Uniform Trade Secrets Act, California Civil Code §§3426 - 3426.11, defines a "trade secret" as follows:
""Trade secret" means information, including a formula, pattern, compilation, program device, method, technique, or process, that:
j'f zl l ELECTRIC POWER l RESEARCH INSTITUTE (1) Derives independent economic value, actual or potential, from not being generally known to the public or to other persons who can obtain economic value from its disclosure or use; and (2) Is the subject of efforts that are reasonable under the circumstances to maintain its secrecy."
- d.
The Proprietary Information was transmitted to the NRC by FENOC in confidence.
- e.
The Proprietary Information is not generally known or available to the public. EPRI developed the Proprietary Information only after making a determination that the Proprietary Information was not available from public sources. EPRI made a substantial investment of both money and employee hours in the development of the Proprietary Information. EPRI was required to devote these resources and effort over a period of several years to derive the Proprietary Information.
As a result of effort and cost, both in terms of dollars :pent and dedicated employee time, the Proprietary Information is highly valuable to EPRI.
- f.
A public disclosure of the Proprietary Information would be highly likely to cause substantial harm to EPRI's competitive position and the ability of EPRI to license the Proprietary Information both domestically and internationally. The Proprietary Information can only be acquired and/or duplicated by others using an equivalent investment of time and effort.
- g.
EPRI requests that the documents identified as "Proprietary Information" on Attachment A hereto be withheld from the public pursuant to C.F.R. §2.390(a)(4).
- 4.
Information Not Constituting EPRI Information.
- a.
A limited number of the FENOC Delivered Documents are not EPRI documents and do not contain EPRI Proprietary Information.
These documents have been identified as such on Attachment A. No request for withholding these documents from the public is made by EPRI.

A limited number of the FENOC Delivered Document are EPRI material for which no request for withholding from public view is requested. Those documents have been identified as "EPRI Document - No Request for Withholding" on the attached Attachment A.
