1 I, Grant Guerra, declare as follows:

I am an attorney licensed to practice law in the State of California and 3
admitted to practice in the United States District Court for the Northern District of 4
California. I am staff counsel for Pacific Gas and Electric Company ("PG&E" or the 5
"Debtor"),' a position I have held since April 2002. 1 am assigned to the Utility Operations 6
Section of PG&E's Law Department, and provide advice and counsel on business and 7
regulatory matters. I make this Declaration based upon my personal knowledge of PG&E's 8
litigation and claims resolution process and upon my review of PG&E's records concerning 9
the matters stated herein. If called as a witness, I could and would testify competently to the 10 facts stated herein. I make this Declaration in support of the Debtor's Motion For Order 11 Authorizing The Debtor To Settle Claim No. 13377 Filed By The Presidio Trust (the 12 "Motion").

Over the past several months, PG&E and The Presidio Trust (the "Trust")
Rm 14 have engaged in negotiations to resolve a proof of claim assigned Claim No. 13377 (the BR~H(IN 15 "Claim") filed by the Trust, as well as other disputes relating to various contracts, licenses 16 and easements relating to land known as Area B ("Area B") or other areas in the former 17 Presidio of San Francisco Army Base (the "Presidio") under the Trust's administrative 18 jurisdiction. On December 17, 2003, PG&E and the Trust (collectively, the "Parties")
19 finalized and executed a Settlement Agreement And Mutual Release of Claims (the 20 "Settlement Agreement"), subject to this Court's approval. The Settlement Agreement 21 mistakenly referenced the Claim as Claim No. 13357. The Parties have agreed to correct 22 such typographical error. A true and correct copy of the Settlement Agreement is attached 23 hereto as Exhibit A.2 24
'Througout this Declaration, capitalized terms not defined herein have the same 25 meaning ascribed to them in the Motion.
2PG&E is not attaching copies of the Settlement Agreement to the service copies of 26 this Declaration because it is too voluminous. However, PG&E will make copies of such document available to anyone being served with the Motion and this Declaration. Under the terms of the proposed Settlement Agreement, the Trust agrees to 2
withdraw the Claim and represents that it has not assigned or transferred any part of the 3
Claim and has not filed or asserted any other claim against PG&E or its bankruptcy estate.
4 The Trust also agrees not to file or assert any claim in the future that arose prior to the 5
execution of the Settlement Agreement, is eventually discharged by a confirmed plan in 6
PG&E's bankruptcy case, and is related to the subject matter of the Settlement Agreement.
7 The Settlement Agreement also contains broad mutual releases.

In addition to the foregoing terms of the Settlement Agreement, the Parties 9
have agreed to settle certain disputes (as described in the Motion at pages 3 through 6) 10 involving various agreements, licenses and easements relating to Area B or portions of the 11 Presidio under the Trust's administrative jurisdiction.

The proposed Settlement Agreement is broad in scope; it resolves several H=l^~D 13 complex issues between the Parties relating to obligations, rights and privileges to land and MA NUa 14 facilities and complex service contracts, dating back as long as thirty-nine years. Based on
- RAsNN Af*Aa f-15 the reasons stated below, PG&E believes that the proposed settlement of these disputes is 16 favorable to the Debtor and should be approved.

The Claim relates primarily to PG&E's use of a corridor (the "Fiber Optic 18 Corridor") of land within the Presidio, a substantial portion of which corridor is now within 19 the boundaries of Area B, for the purpose of installing, using, and maintaining a fiber optic 20 telecommunications cable and related facilities. PG&E maintains that the Claim is untimely, 21 and has filed an objection to the Claim on such basis (the "Objection"), which is currently 22 pending before the Court. Even assuming, arguendo, that the Claim is timely, PG&E denies 23 the alleged wrongdoing that forms the basis of the Claim and disputes the amount of 24 damages alleged in the Claim. PG&E maintains that it did not exceed the scope of its permit 25 to use the Fiber Optic Corridor, but rather used the Fiber Optic Corridor pursuant to a hold-26 over permit granted by the United States Army (the "Army") pending negotiation of an 27 California 94111-4024, or by e-mail request to nhuntehrice.com. Additionally, copies of the Settlement Agreement will be available at the hearing on the Motion if the Court or any 28 other person wishes to review it.

Additionally, PG&E takes the position that the amount of the Claim, which purports to assess the value of the Fiber Optic Corridor, grossly exceeds the fair market value for such a right of way. Moreover, the Parties' respective positions on various disputed and unresolved issues, including with respect to the Fiber Optic Arrangement (an agreement for PG&E's use of the Fiber Optic Corridor), the Electric Supply Arrangement (an agreement relating to PG&E's provision of electric service and upgrade of an existing 4 kV electric distribution system on Area B), the Undocumented Electric Facilities (facilities owned and maintained by PG&E serving the Presidio, including the Wherry Housing/Baker Beach Apartments), and the Natural Gas Easement (an easement for PG&E's gas service facilities in the Presidio, including the Wherry Housing/Baker Beach Apartments),3 will be difficult to establish because they are premised upon negotiations, agreements, and contracts which date back as much as thirty-nine years.

If the proposed Settlement Agreement is not approved, PG&E intends to continue litigating its Objection to the Claim, and, if necessary, additional objections, at considerable expense and inconvenience to both the Parties and the Court. Litigation of the Claim and various related matters that are resolved under the proposed Settlement Agreement would raise many complex and challenging issues, including: the existence and scope of any land rights held by PG&E in Area B, the ownership interests of the Parties with respect to existing facilities in Area B and the obligations and rights of the Parties under electric and gas distribution service agreements for utility service to Area B. These complex issues presumably would require extensive analysis and testimony and result in protracted and costly litigation. Further, the uncertainty associated with the failure to resolve such complex issues will inconvenience PG&E's ongoing business operations.

Avoidance of unnecessary litigation will benefit PG&E's creditors by minimizing costs and delay and allowing PG&E's personnel to focus on more critical functions.
