Amendment 19 to Indemnity Agreement No. B-36 Gentlemen:

By Orders dated June 22, 2001, and October 30, 2001, the NRC approved direct transfers related to the ownership and operating authority for Nine Mile Point, Units 1 and 2 (NMP1, NMP2).

These direct transfers were completed on November 7, 2001. Ownership and operating authority for NMP1 were transferred from Niagara Mohawk Power Corporation (NMPC) to Nine Mile Point Nuclear Station, LLC (NMPNS). The ownership interests of NMPC, New York State Electric and Gas Corporation, Rochester Gas and Electric Corporation, and Central Hudson Gas

& Electric Corporation in NMP2 were also transferred to NMPNS. Operating authority for NMP2 was transferred from NMPC to NMPNS.

By letter dated November 7, 2001, the NRC issued conforming amendments to reflect the direct transfer of the licenses for NMIP1 and NMP2. Enclosure 3 to that letter provided copies of Amendment 19 to Indemnity Agreement No. B-36. It was requested that one copy of Amendment 19 be signed by the current and former owners and returned to the NRC. The signed copy of Amendment 19 is attached.
