Letter from J. J. Sheppard, STP Nuclear Operating Company, to James E. Dyer, Nuclear Regulatory Commission, "Application for Order Approving Indirect Transfer of Control of Licenses," dated May 3, 2007 (ML071340049)

Pursuant to Section 184 of the Atomic Energy Act of 1954, as amended, and 10 CFR 50.80, STP Nuclear Operating Company (STPNOC), acting on behalf of NRG South Texas LP (NRG South Texas) and its corporate parent NRG Energy, Inc. (NRG Energy), submitted an application (referenced above) seeking consent of the Nuclear Regulatory Commission to the indirect transfer of control of NRG South Texas's licenses to own a 44% interest in the South Texas Project, Units 1 and 2 (STP). In support of that Application, STPNOC submits the following supplemental information.

In the proposed transaction, a new holding company is to become the new corporate parent of NRG Energy. This entity was temporarily identified as "NRG HoldCo", with the actual name to be provided later, as indicated on page 5. Figure 2 identified the holding company by "NRG Energy Group, Inc.", a potential name. NRG Energy has now identified that the name of the proposed corporate parent holding company will be "NRG Holdings, Inc."

There are no commitments in this letter.

If NRC requires additional information concerning this license transfer request, please contact either Philip L. Walker at (301) 972-8392 or me at (301) 972-8757.
