Affidavit of Joseph J. Lioinsky I, Joseph J. Lipinsky, being firHL duly sworn, do hereby depose and say:
- 1. I as the Quality Assurance Director for Oliver B .' Cannon & Son, Inc. During the course of that employment, I' wrote a trip report, dated August 8, 1983, concerning my visit to the Comanche Peak nuclear plant on July 26-27, 1983.
That report, which was intended as an internal Cannon document, was surreptitiously obtained from me, and subsequently it was made available to the U.S. Nuclear Regulatory Commission (NRC).
i 2. The memorandum raised technical concerns about the protective coatings program at Comanche Peak and in this connection, the NRC sought to take my deposition. Cannon desired to coopecate with the NRC and I agreed to give the deposition. Messrs. Nicholas Reynolds and McNeill Watkins II of the firm of Bishop, Liberman, Cook, Purcell & Reynolds 4

- were retained as my attorneys.

- 3. I considered Messes. Reynolds and Watkins as my
- attorneys in dealing with the NRC deposition matter. Mr.
.Reynolds provided me with advice regularly during November
! and December 1983 with respect to this matter. Mr. Watkins
- e represented me on the day of the deposition, January 4, 1984.

- 4. Subsequently, I learned from Mr. Roth, i President of Cannon, that he had retained Messrs. Reynolds and Watkins as my attorneys, ar.d that cannon had assumed _
responsibility for the payment of their fees.

- 5. I conside.c ay consultations with my attorneys to be privileged, including the records I made of those consultations in the documents identified in Attachment D of Mr. Gallo's October 18, 1984 letter to the Licensing Board and the diary notes identified in Mr. Thornton's
- letter of October 19, 1984 to the Board. I have instructed Mr. Gallo to assert that privilege in connection with the request for their production.

Reynolds and Watkins. The purpose of this letter is to provide that information based on my conversation with Mr. .
Lipinsky this morning.
Mr. Lipinsky requested legal representation of Mr.
E neynolds and his firm on November 29, 1983. The representation was limited to the matter of NRC's request (Region IV) to take Mr. Lipinsky's deposition. The matter.of fees was discussed during a telephone conversation on November
- 30. Mr. Lipinsky was told that he would not be billed for the legal services. He was advised that either O.B. Cannon or Texas Utilities would assume responsibility for the costs.
Mr. Lipinsky later learned in early November 1984 that Cannon had assumed responsibility for the payment of legal fees resulting from Mr. Lipinsky's representation.
On-November 30, 1983, Mr. Lipinsky and Mr. Reynolds discussed the potential for a conflict of interest associated with Mr. Reynold's representation. Mr. Lipinsky was advised (a fact he already knew) that Mr. neynolds represented Texas Utilities in the Comanche Pee.k licensing case. Mr. Lipinsky

1 was advised that a conflict could arise if during the NRC deposition, Mr. Lipinsky's testimony was detrimental to the interest of Texas Utilities. Mr. Lipinsky was advised that if .
this occurred, Mr. Reynolds wculd immediately interrupt the deposition and withdraw his representation. Mr. Lipinsky understood the situation as explained above, and he accepted the Reynolds , et al. , represen'.ation on that basis.
Mr. Watkins' only involvement was to represent Mr.
Lipinsky during the deposition on January 4, 1984. Since Region IV did not inquire of Mr. Lipinsky after January 4, 1984,-no further representation with respect to this matter by Reynolds and Watkins has occurred'since that time.

On January 4, 1984, the writer traveled to Chicago, and net Mr. McNeill

Mr. Watkins and the writer went to the coffee shop in the O' Hare Hilton and discussed the following:
-JJL to request, as soon as possible after being placed under oath, for a copy of the tr'anscript. -
-Mr. Watkins discussed "on the record" vs "off the record".
-Mr. Watkins discussed the four categories that questions would fit.
-Mr. Watkins and the yriter discussed other miscellaneous items.

The writer's responses were in line with the draft testimony prepared by 't. Reynolds and the .vriter for the ASLB Hearings. The writer did not specul. ate on other arris not in the report. Also the ariter did not speculate or expand on areas covered in the report.
