{{#Wiki_filter:ENTERGY CORPORATION BOARD MEETING MINUTES MAY 13, 2004 WHEREAS, following the national security events of September 11, 2001, the NRC implemented numerous nuclear plant security orders designed to strengthen the physical security of commercial nuclear power plants; and WHEREAS, in addition to these required physical security changes the NRC also established a process by which it could share certain classified national security information (Classified Information and/or Special Nuclear Material) with NRC Licensees after the Licensees had first obtained Facility Clearances in conformity with the National Industrial Security Program; and WHEREAS, in order for Entergy Corporations (the Corporation) nuclear operating subsidiaries, Entergy Operations, Inc. (EOI) and Entergy Nuclear Operations, Inc. (ENOI), to meet the Foreign Ownership Control and Influence restrictions imposed by the National Industrial Security Program it is necessary for the Corporation to adopt resolutions isolating itself from access to Classified Information and/or Special Nuclear Material provided by the NRC or other federal agencies; NOW THEREFORE, BE IT RESOLVED, that, Entergy Corporation (the Corporation), its officers (other than its chief nuclear officer who also serves as the Chief Executive Officer of Entergy Operations, Inc. and Entergy Nuclear Operations, Inc.) and directors, acting as such, will not require and will not have access to Classified Information and/or Special Nuclear Material in the custody of Entergy Operations, Inc. or Entergy Nuclear Operations, Inc. (either or both referred to as Entergy Nuclear), subsidiary corporations; that the directors and officers of the Corporation (other than its chief nuclear officer who also serves as the Chief Executive Officer of Entergy Operations, Inc. and Entergy Nuclear Operations, Inc.) do not, in their capacities as such directors and officers, occupy positions that would enable them to affect adversely the policies and practices of Entergy Nuclear with respect to Classified Information and/or Special Nuclear Material; and further that Entergy Nuclear has been delegated full authority to act completely independent of the Corporation in all matters which involve or relate to Entergy Nuclears responsibility to safeguard Classified Information and/or Special Nuclear Material; and further RESOLVED, that this action of the Board of Directors of the Corporation is taken for the purpose of excluding the Corporation from the necessity of a Facility Clearance in conformity with the National Industrial Security Program; and further RESOLVED, that the Corporation, through its duly authorized officers, shall immediately notify the Nuclear Regulatory Commission of any changes in the extent and nature of Foreign Ownership, Control, and Influence (FOCI) which would affect the information in the Foreign Ownership, Control, or Influence submission most recently filed with the Nuclear Regulatory Commission by this Corporation pursuant to the National Industrial Security Program including, without limitation, any changes in the control of this Corporation that must be reported by the Corporation to other U. S. Government agencies.}}
