(3)Inmaking              this  application  for  withholding        ofproprietary    information of which  itistheowner,      Holtec International      relies  upontheexemption    from disclosure  setforth  intheFreedom ofInformation Act("FOIA"),                5 USC Sec. 552(b)(4)    andtheTrade      Secrets Act, 18USCSec.              1905, andNRC regulations    10CFRPart      9.17(a)(4),  2.390(a)(4),    and2.390(b)(1)    for "trade secrets  andcommercial      orfinancial    information      obtained from          and a person privileged  orconfidential"  (Exemption      4). : a.      Information  that discloses a process,        method,    orapparatus,    including supportingdata andanalyses, where            prevention    ofits  usebyHoltec's competitors    without  license from      Holtec    International    constitutes a competitive  economic    advantage    over  other  companies;
: b.      Information    which,    if used by a competitor,              wouldreduce      his expenditure    ofresourcesor improve hiscompetitive                  position inthe design,  manufacture,    shipment,  installation,    assurance    ofquality,  or licensing  ofa similar  product.
: c.      Information    whichreveals        costor price        information,    production, capacities,  budget    levels,    or commercial          strategies    of Holtec International,  its customers,    orits  suppliers;
: d. Information        which    reveals  aspects  ofpast,    present,    orfutureHoltec International  customer-funded      development        plans and programs        of potential  commercial  value  toHoltec    International;
: e.      Information    which    discloses    patentable      subject  matter  for which  it maybedesirable      toobtain    patent  protection.
Theinformation      sought  tobewithheld    isconsidered      tobeproprietary    for the reasons    setforth  inparagraphs    4.a, 4.band4.e      above.
(5)Theinformation              sought    tobewithheld      isbeing      submitted    tothe  NRCin confidence. Theinformation      (including  that  compiled    from    manysources)    is ofa sortcustomarily        held  inconfidence      byHoltec      International,  andisin fact  soheld. Theinformation      sought  tobewithheld        has,  tothe  best ofmy knowledge      and  belief,  consistently  beenheldinconfidence              by Holtec International. No public    disclosure  hasbeen      made,  anditisnotavailable        in public    sources. Alldisclosures      to third    parties,  including    anyrequired transmittals    tothe  NRC,havebeenmade,                ormustbemade,          pursuant  to regulatory    provisions      or proprietary      agreements        whichprovide        for 2 of5

(6)Initial          approval      of proprietary    treatment    ofa document          ismadebythe manager      oftheoriginating component, theperson                    most likely        to be acquainted    with    thevalue andsensitivity ofthe          information      inrelation    to industry    knowledge.        Access tosuch    documents    within    Holtec    International islimited    ona "need      toknow" basis.
(7)Theprocedure                for  approval  ofexternal    release ofsuch      a document      typically requires    review    bythestaff    manager,  project manager,principal          scientist  or other    equivalent      authority,    by themanager ofthecognizant                  marketing function competitive (or  his  designee),
effect, andbythe anddetermination Legal Operation,      for technical ofthe accuracy oftheproprietary content, designation.      Disclosures      outside  HoltecInternational          are limited      to regulatory    bodies,      customers,  andpotential      customers,      andtheir      agents, suppliers,    and licensees,        andothers      witha legitimate needforthe information,      andthenonly        in accordance      withappropriate regulatory provisions    orproprietary      agreements.
(8)Theinformation                  classified  asproprietary    wasdeveloped        andcompiled by Holtec      International      at a significant    costto Holtec        International.      This information      is classified      as proprietary      because      itcontainsdetailed descriptions      ofanalytical      approaches    andmethodologies          not available elsewhere.      Thisinformation        wouldprovide          other    parties,    including competitors,    with  information    from  Holtec  International's    technical    database andtheresults            of evaluations    performed      by Holtec        International.      A substantial  effort    hasbeen    expended    byHoltec    International    todevelop      this information.      Release      ofthis  information    wouldimprove          a competitor's position  because    itwould    enable Holtec's    competitor    tocopy    ourtechnology andoffer    itfor    sale  incompetition    with  ourcompany,        causing    usfinancial injury.

Thevalue    ofthe technology base        goesbeyond    theextensive  physical database      andanalytical methodology, andincludes              development    ofthe expertise    todetermine      andapply the  appropriate  evaluation  process.
Theresearch,      development,      engineering,    andanalytical  costs  comprise    a substantial  investment      oftime  andmoney byHoltec      International.
Theprecise      value  oftheexpertise      todevise an evaluation process    andapply thecorrect      analytical    methodology    isdifficult toquantify, butitclearly        is substantial.
Holtec    International's      competitive  advantage        be lost if will            itscompetitors areable  tousethe    results  ofthe Holtec    Internationalexperience  tonormalize or verify    their own process      or ifthey      areable to claim an equivalent understanding    bydemonstrating        that  they  canarrive atthesame orsimilar conclusions.
Thevalue      ofthis  information    toHoltec    Internationalwould    belost if the information    weredisclosed      tothe  public. Making  such  information  available to competitors    without      their having  been    requiredto undertake  a similar expenditure    ofresources    would  unfairly  provide competitors  with a windfall, and deprive      Holtec      International  of theopportunity      to exercise      its competitive    advantage      toseek  anadequate          on its return      large  investment    in developing    these very    valuable analytical  tools.
