(2)Theinformationsought tobewithheld areEnclosures 1,3,5,6and7 to Holtec Letter 1553045-NRC, whichcontains Holtec Proprietary information.

(3)Inmaking this application for withholding ofproprietary information of whichitistheowner, Holtec International relies upontheexemption from disclosure setforth intheFreedom ofInformation Act("FOIA"),

5 USC Sec.552(b)(4) andtheTrade Secrets Act, 18USCSec.1905,andNRC regulations 10CFRPart9.17(a)(4),

2.390(a)(4),

and2.390(b)(1) for"trade secrets andcommercial orfinancial information obtained fromaperson and privileged orconfidential" (Exemption 4).

The material forwhichexemption fromdisclosure isheresought isall "confidential commercial information",

andsomeportions alsoqualify underthenarrower definition of"trade secret",

within themeanings assigned tothose terms for purposes ofFOIA Exemption 4 in,respectively, W

a.

Information that discloses aprocess,

method, orapparatus, including supportingdata andanalyses, whereprevention ofits usebyHoltec's competitors without license fromHoltec International constitutes a

competitive economic advantage overother companies; b.

Information which,if used by a competitor,wouldreduce his expenditure ofresourcesor improve hiscompetitive position inthe

design, manufacture,
shipment, installation, assurance ofquality, or licensing ofasimilar product.

c.

Information whichreveals costor price information, production, capacities, budget

levels, or commercial strategies of Holtec International, its customers, orits suppliers; d.

Information whichreveals aspects

ofpast, present, orfutureHoltec International customer-funded development plans and programs of potential commercial value toHoltec International; e.

Information whichdiscloses patentable subject matterfor which it maybedesirable toobtain patent protection.

Theinformation sought tobewithheld isconsidered tobeproprietary for the reasons setforth inparagraphs 4.a, 4.band4.eabove.

(5)Theinformation sought tobewithheld isbeing submitted totheNRCin confidence.

Theinformation (including that compiled frommanysources) is ofa sortcustomarily heldinconfidence byHoltec International, andisin fact soheld.

Theinformation sought tobewithheld

has, tothebest ofmy knowledge andbelief, consistently beenheldinconfidence byHoltec International.

Nopublic disclosure hasbeenmade,anditisnotavailable in public sources.

Alldisclosures tothird

parties, including anyrequired transmittals totheNRC,havebeenmade,ormustbemade,pursuant to regulatory provisions or proprietary agreements whichprovide for 2of5

Itsinitial designation as proprietary information, andthesubsequent stepstaken toprevent its unauthorized disclosure, areassetforth inparagraphs (6) and(7) following.

(6)Initial approval of proprietary treatment ofa document ismadebythe manageroftheoriginating component, theperson mostlikely to be acquainted withthevalue andsensitivity oftheinformation inrelation to industry knowledge.

Access tosuchdocumentswithin Holtec International islimited ona"need toknow" basis.

(7)Theprocedure forapproval ofexternal release ofsuchadocument typically requires review bythestaff

manager, project manager,principal scientist or otherequivalent authority, bythemanager ofthecognizant marketing function (or hisdesignee),

andbythe Legal Operation, fortechnical

content, competitive
effect, anddetermination ofthe accuracy oftheproprietary designation.

Disclosures outside HoltecInternational arelimited to regulatory

bodies, customers, andpotential customers, andtheir
agents, suppliers, andlicensees, andothers witha legitimate needforthe information, andthenonlyinaccordance withappropriate regulatory provisions orproprietary agreements.

(8)Theinformation classified asproprietary wasdeveloped andcompiled by HoltecInternational ata significant costtoHoltec International.

This information isclassified as proprietary because itcontainsdetailed descriptions ofanalytical approaches andmethodologies not available elsewhere.

Thisinformation wouldprovide otherparties, including competitors, withinformation fromHoltec International's technical database andtheresults ofevaluations performed byHoltec International.

A substantial effort hasbeenexpended byHoltec International todevelop this information.

Release ofthisinformation wouldimprove a competitor's position because itwouldenable Holtec's competitor tocopyourtechnology andoffer itforsale incompetition withourcompany, causing usfinancial injury.

Theinfonnation is partofHoltecInternational's comprehensive spentfuel storage technology

base, andits commercial valueextends beyond theoriginal development cost.Thevalue ofthe technology basegoesbeyond theextensive physical database andanalytical methodology, andincludes development ofthe expertise todetermine andapply the appropriate evaluation process.

Theresearch, development, engineering, andanalytical costscomprise a

substantial investment oftimeandmoney byHoltecInternational.

Theprecise value oftheexpertise todevise an evaluation process andapply thecorrect analytical methodology isdifficult toquantify, butitclearly is substantial.

Holtec International's competitive advantage will be lost ifits competitors areable tousetheresults oftheHoltec International experience tonormalize orverify their own process oriftheyareableto claim an equivalent understanding bydemonstrating that they canarrive atthesame orsimilar conclusions.

Thevalue ofthis information toHoltec International wouldbelost if the information weredisclosed tothepublic.

Making suchinformation available tocompetitors without their having beenrequired toundertake a similar expenditure ofresources wouldunfairly provide competitors with awindfall, anddeprive HoltecInternational oftheopportunity to exercise its competitive advantage toseek anadequate return onitslarge investment in developing these veryvaluable analytical tools.
