4916-3122-8255.v2 APPLICATION FOR WITHHOLDING OF SUBCRITICAL SYSTEMS, INC. AND AFFIDAVIT I, Stuart Henderson, Chief Technology Officer of Subcritical Systems, Inc. (Subcritical Systems), state that:
- 1. I am the Chief Technology Officer of Subcritical Systems and have been delegated the function of reviewing the information described in paragraph (2), which is sought to be withheld, and have been authorized to apply for this withholding.
- 2. Subcritical Systems is providing this presentation in support of meetings with the U.S.
Nuclear Regulatory Commission. The presentation is for withholding in its entirety, given the purpose of the presentation and constitutes proprietary commercial information that should be held in confidence by the U.S. Nuclear Regulatory Commission (the NRC) pursuant to the policy reflected in 10 CFR § 2.390(a)(4) and 10 CFR § 9.17(a)(4) because:
a.
The meeting content and presentation is and has been held in confidence by Subcritical Systems.
- b. The presentation is of a type that is held in confidence by Subcritical Systems, and there is a rational basis for doing so because the information contains sensitive competitive information.
c.
This presentation is being submitted to the NRC in confidence.
- d. This presentation has been marked in accordance with 10 CFR § 2.390(b)(1) as proprietary.
e.
This presentation is not available in public sources and could not be readily gathered from other publicly available information.
f.
Public disclosure of the meeting content and presentation would create substantial harm to the competitive position of Subcritical Systems by disclosing its internal commercial and proprietary information to other parties whose commercial interests may be adverse to those of Subcritical Systems.

Accordingly, Subcritical Systems requests that the designated information be withheld from public disclosure pursuant to the policy reflected in 10 CFR § 2.390(a)(4) and 10 CFR § 9.17(a)(4).

The averments of fact set forth in this affidavit are true and correct to the best of my knowledge, information, and belief.

I declare under penalty and perjury of the laws of the United States that the foregoing is true and correct.
