The U.S. Nuclear Regulatory Commission (NRC) has completed its review of your letter dated May 11, 2021, requesting approval for export license nos. XSNM3807, XSOU8832/02, and XSOU8839/01. The enclosed Order approves the proposed transfers pursuant to Section 184 of the Atomic Energy Act of 1954, as amended (42 U.S.C. § 2234).

In accordance with the Title 10 of the Code of Federal Regulations (10 CFR) § 2.390 of NRCs Rules of Practice, a copy of this letter and its enclosures will be available electronically for public inspection in the NRC Public Document Room or from the Publicly Available Records component of NRCs ADAMS. Order Approving Transfers of Export Licenses I.

Transport Logistics International, Inc. (TLI or the licensee) currently holds NRC export license nos. XSNM3807, XSOU8832/02, and XSOU8839/01. On March 4, 2021, the Orano Group (Orano SA) and the Daher Group announced an agreement for the acquisition of Orano Nuclear Packages and Services (Orano NPS). TLI is a direct and wholly owned subsidiary of Daher Nuclear Technologies (DNT) GmbH. Under the proposed transaction, Orano Nuclear Packages and Services (Orano NPS), a wholly owned subsidiary of Orano SA, would acquire DNT GmbH TLIs current and immediate parent company.

After the proposed acquisition of DNT Gmbh by Orano NPS, Orano NPSs parent company, Orano SA, will undertake an internal reorganization where TLI would be transferred from Orano NPS to another Orano SA wholly owned subsidiary, TN Americas LLC. Upon 2

conclusion of the proposed transaction and subsequent internal reorganization, TLI would now be a direct subsidiary of TN Americas LLC and wholly owned by the ultimate parent company, Orano SA.

By letter dated May 11, 2021, (Agencywide Documents Access and Management System [ADAMS] Accession Number ML21161A001) as supplemented by information provided on June 21, 2021, via electronic communication, Orano SA and the Daher Group requested the transfer of the TLIs licenses pursuant to Section 184 of the Atomic Energy Act of 1954, as amended (AEA) (42 U.S.C. § 2234) and Title 10 of the Code of Federal Regulations (10 CFR) 110.50(d). The letter from Daher and Orano SA requesting NRC approval of the transfer was made publicly available in ADAMS on June 10, 2021. No comment or requests for hearing were received.

Pursuant to Section 184 of the AEA, no license granted under 10 CFR Part 110 shall be transferred, assigned, or in any manner disposed of, directly or indirectly, through transfer of control of any license to any person unless the Commission, after securing full information, finds that the transfer is in accordance with the provisions of the AEA, and gives its consent in writing.

Pursuant to 10 CFR 110.50(d), a specific license may be transferred, disposed of, or assigned to another person only with the approval of the Commission by license amendment.

After review of the information in the Daher and Orano SA letter dated May 11, 2021, and relying on statements and representations contained in the supplemental information, the NRC staff has determined that the licensee is qualified to hold the licenses and that the transfers of control are consistent with the applicable provision of the AEA, the NRCs regulations, and orders issued by the Commission.

IV.

Accordingly, pursuant to Section 184 of the AEA Act of 1954, as amended, IT IS HEREBY ORDERED that the transfer of the licenses, as described herein, is approved.

IT IS FURTHER ORDERED that within 30 days of the transaction having closed that Daher and Orano SA notify the NRC of the same. If the transaction does not close within 180 days of this order, this order shall be void.

This Order is effective upon issuance.
