CONTRACT NRC-33-92-203, TASK ORDER NO.14 MODIFICATION NO.7

Dear Ms. Hutchison:

The purpose of this modification is to document the terms and conditions, increase the task

. order ceiling and obligate funds relevant to the final settlement of Applied Management Systems, Inc. related cost growth incurred innder Task Order No.14 of Contract No. NRC 92-203.

Accordingly:

WHEREAS, Task Order No.14 was entered into between the NRC and Applied Management Systems, Inc. on June 20,1996, with a total cost ceiling of $295,722.08 with an expiration date of May 16,1997.

WHEREAS, the task order required Applied Management Systems, Inc. to provide a comprehensive systems integration services to IRM to perform all phases of the design, y-dev'elopment, implementation, und maintenance of a fully integrated SECY Tracking and Reporting System (STARS) for SECY using client-server technology. The contractor was to perform requirements analysis, data modeling, hardware / software platform configuration, document and data conversion, tumkey systems implementation, user training, documentation, post-implementation support, and transition plan as related to all phases of the design.

WHEREAS, modification number 3 to the task order extended the period of performance to N}

June 30,1997, at no additional cost to the government, as requested by AMS's letter of December 20,19%, which noted modification no. 2 and the revision to the Statement of Work

-(SOW) and Milestone / Deliverable Chart.

WHEREAS, modification number 4 to the task order extended the period of performance to

. Janua y 31,1998, and increased the task order ceiling to $351,018.46.

NRC-33-92-203-014 Modification No. 7 Page 2 of 4 WHEREAS, AMS's letter of March 16,1998 requested the NRC to consider a proposed cost increase ($6,237.00) to complete Task Order No.14 through April 30,1998.

j WHEREAS, AMS's letter of April 3,1998, provided a detailed description of the work which remains to be completed and a cost breakdown of the associated cost for these efforts which indicated cost and fee of $6,173.44 (includes $237.44 in fee).

WHEREAS, the parties, agreeing to settle all claims and disputes under the task order related to the cost growth agrees as follows:

(1)

The task order cost growth amount, $6,173.44 will be reduced by the fixed fee amount of $237.44 (government does not pay fee on cost growth costs) which results in an cost growth amount of $5,936.00.

(2)

The task order ceiling amount is increased by $5,936 from $351,018.46 to $356,954.46 in which the amount of $343,453.75 represents the reimbursable costs, and the amount of $13,500.71 represents the fixed fee.

(3)

The following work is to be completed with the balance of funds being obligated.

Therefore, AMS is to continue development work as described below, on the F~

By execution of this task order modification, Applied Management Systems, Inc., for itself, its successors and assignees, hereby releases and forever discharges the Government, its officers, agents and employees from any and all claims however, derived, and agrees to refrain from lodging lawsuits in any forum, for additional adjustments or compensation arising under, or related to, the cost growth incurred under task order number 14. The parties agree that the changes and compensation provided by this modification constitute the complete and final agreement for compensation of all costs associated with#1e cost growth. Applied Management r-Systems, Inc. expressly represents and acknowledges that in agreeing to the terms and adjustment contained herein, it has considered and made allowances for every cost, regardless of when incurred, for its interest related to the cost growth, including interest and attomeys fees, but excluding any indirect rate adjustments that may be allowed in accordance with FAR Clause 52.232-22 " Limitation of Funds."

The issuanca of this task order modification does not amend any other terms or conditions of 1

the subject contract.
