Contract No. NRC-02-87-004 Modification No.40 Page 2'of 2 Task Order No. 3 under the' subject contract was terminated for the convenience of the Government by letter dated May 17, 1989.

The effective date of the termination is March 3, 1989.

This modification.is issued.to provide.for a ceiling adjustment for task' order 3 in accordance with SAIC letter of July 14, 1989'and telecon of-July 18,-1989 between T. Rodehau, SAIC, and Barbara Mechan,.NRC,.

- wherein it was agreed that settlement costs would consist of incurred costs and proportionate fixed fee (8-1/2%) of incurred costs. These amounts are

$55,495.52 for costs and $4,717.12 for fixed fee.

It was also agreed that an amount equal to.2% of actual costs would be held in reserve and included in the revised ceiling to be used in making indirect rate adjustments at the time of final audit and close out of the contract.

Therefore, the task order ceiling is reduced from $169,848.00 to

$61,322.55. Of this' amount, $56,605.43 represents incurred costs and.

includes the 2% reserve amount, and $4,717.12 represents fixed fee. As a result of this revision, excess funds in the amount of $108,525.45 will be deobligated from the task order.

J Accordingly, SAIC agrees not to submit a settlement proposal for this task order.

All other terms and conditions.of the contract, including the ceiling amount of

$2,100,000. 00, remain the same.
