This letter responds to your July 17, 1989 appeal of this Agency's denial of the records identified as F9-11 in our June 9,1989 response to F01A-87-535.

In response to your appeal, the withheld information was again reviewed. On' the basis of this review, it has been determined that document F-10 should be released. A copy of this de

is enclosed with this letter. With respect a

to the balance of' denied materia'., I affirm the Agency's action in this matter.

Document F-9 is a memorandum prepared by the Agency's internal audit office for the Comission's review.' The document's author discusses the conduct of a then pending investigation. The information that remains withholdable consists' of the author's analysis of the allegations and his proposal for

- concluding the investigation. Document F-11 is a memorandum for the record of a closed Comission meeting. The information that remains withholdable -

consists of a proposed course of action for the Comission to pursue with respect to a licensing matter.

This information was properly withheld under Exemption 5 of the F0IA as its release 'could compromise the integrity of the Agency's decisionmaking process by chilling candor. Moreover, disclosure of information reflecting only proposed courses of action would constitute a premature release of information that does not necessarily reflect final agency action or policy.
