Dear Mr. Charnoff:

This is in response to your letter lated June 9.1989 concerning a Detroit Edison plan to utilize the financing option pNvided by the Michigan Industrial Development Revenue Bond Act of 1963. Pursuant to this program Michigan municipalities are permitted tu assist Michigan utilities in the financing of pollution control facilities qualified as such under the Federa~1 Internal Revenue Code. The information you submitted describes the financing arrangement as essentially a debt arrangement of the type described in 10 CFR 50.81. Part of the financing arrangement you describe involves a transfer of title of equipment to the County of Monroe, Michigan, which standing alone might be considered within 10 CFR 00.80 as a transfer of a creditor transaction equivalent to a mortgage or lien as contemplated by

license. However, as you describe the arrangement, it is essentially a 10 CFR 50.81 and not a transfer of any right under the Fermi Unit license.

1 Accordingly, it will not be necessary for you to request approval for the transactions described in your letter.

In the event the process is modified in such a way that any right under the license is transferred, then the procedures set forth in 10 CFR 50.80 must, of course, be followed.
