l NRC-02-88-005 Modification No. 20 Page 2 The purpose of this modification is to: (1) revise Section G.2 - Technical Direction to include Technical Assistance and Research Sponsors; (2) replace Section G.3 - Project Officer with Section G.3 - Responsibilities; and (3) replace Section G.4 - CNWRA Program Manager /CNWRA Deputy Program Manager with Section G.4 - CNWRA Program Management. Therefore, Sections G.2 through G.4 are revised to read as follows:

"G.2 Technical Direction G.2.1.'- Project Officers The Project Officer for each task /sub-task of work is named in Subsection G.3.1., paragraph C. below.

A.

Performance of the work under each task /sub-task shall be subject to technical direction of the NRC Project Officer named. The term

" Technical Direction" is defined to include the following:

1.

Technical direction to'the contractor which shifts work emphasis within the task /sub-tasks requires pursuit of certain lines of inquiry, fills in details or otherwise serves to accomplish the scope of work for the directive.

2.

Providing assistance to the contractor in the preparation of drawings, specifications or technical portions of the work description.

3.

Review and where required by the contract, approval of technical reports, drawings, specifications and technical information to be delivered by the contractor to the Government under the contract.

B.

Technical direction must be within the stated scope of work.

The Project Officer does not have the authority to and may not issue any technical direction which:

1.

Shifts work between elements /sub-elements.

2.

Constitutes an assignment of additional work outside the general scope of the individual task (s).

3.

Constitutes a change as defined in the clause of the General Provisions, entitled, " Changes."

4.

In any way causes an increase or decrease in the total estimated contract cost, the fee, if any, or the time required for completion of the individual task (s).

The contractor shall proceed promptly with the performance of technical directions duly issued by the Project Officer in the manner prescribed by this article and within such person's authority under the provisions of this article.

If, in the opinion of the contractor, any instruction or direction or revision issued by Project Officer is within one of the categories as defined in B.1 through 5 above, the contractor shall not proceed but shall notify the Contracting Officer in writing within five (5) working days after the receipt of any such instruction or direction and shall request the Contracting Officer to modify the contract accordingly.

Upon receiving such notification from the contractor, the Contracting Officer shall, with the assistance of the CNWRA Program Manager, investigate the circumstances.

If it is determined that, in the Contracting Officer's opinion, the technical direction is within the scope of this article and does not constitute a change under the Changes Clause, this information will be provided to the Contractor in writing.

If it is determined that it is outside of the scope, the Contracting Officer may (a) issue an appropriate contract modification; or (b) issue a directive indicating that the technical direction is null and void.

D.

The Center shall proceed with any technical direction, instruction or revision issued by the Project Officer that falls within A.1 through 3 above. Any objection or differences of opinion regarding technical direction issued by the individual Project Officer shall be immediately reported in writing by the Center to the Contracting Officer with concurrent copies to the Project-Officer, respective Program Element /Sub-Element Manager, Sponsor and CNWRA Program Manager and shall provide substantiation for the Center's differing position citing the categories B.1 through 5 above as appropriate.

E.

Any unauthorized commitment or direction issued by the Project Officer may result in an unnecessary delay in the contractor's performance, and may even result in the contractor expending funds for unallowable costs under the contract.

A failure of the parties to agree upon the nature of the instruction or direction or upon the contract action to be taken with respect thereto shall be subject to the provisions of the contract clause entitled " Disputes".

G.2.2 Program Element /Sub-Element Manaaers The Program Element /Sub-Element Managers for each individual element /sub element of work is named in Subsection G.3.2, paragraphs C.

and D. below.

paragraph C. below.

Performance of the work under each program area shall be subject to technica1' direction of the NRC Technical Assistance Sponsors and Research Sponsors named.

The term " Technical Direction" is defined to include the following:

G 2.4. - CNWRA Proaram Manaaer/CNWRA Deputy Proaram Manager The CNWRA Program Manager /CNWRA Deputy Program Manager are named in subsection G.4 below.

A.

Performance of the work under_ this contract shall be subject to overall program / planning direction of the CNWRA Program Manager /CNWRA Deputy Program Manager named.

The term "Overall Program / Planning Direction" is defined to include the following:

1.

Direction to the contractor regarding activities relating to the overall operation of the Center and overall priorities of work, resolve conflicting technical direction to fill in details or otherwise serve to facilitate the effective and efficient operation of the Center.

2.

Providing assistance to the contractor in the preparation of plans or other actions related to the overall operations of the Center.

3.

Review and where required by the contract, approval of planning reports, specificattuns and information to be delivered by the contractor to the Government under the contract.

B.

Program / planning direction must be within the scope of work stated. The CNWRA Program Manager /CNWRA Deputy Program Manager does not have the authority to and may not issue any direction which:

1.

Shifts work between elements /sub-elements.

2.

Constitutes an assignn.cnt of additional work outside the general scope of the individual element /sub-element.

Constitutes a change as defined in the clause of the General Provisions, entitled, " Changes."

4.

In any way causes an increase or decrease in the total estimated contract cost, the fee, if any, or the time i

required for completion of the individual element /sub-element.

Upon receiving such notification from the contractor, the Contracting Officer shall issue an appropriate contract modification or advise the contractor in writing that, in the Contracting Officer's opinion, the technical direction is within the scope of this article and does not constitute a change under the Changes Clause, this information will be provided to the Contractor in writing.

If it is determined that it is outside of the scope, the Contracting Officer may (a) issue an appropriate contract modification; or (b) issue a directive indicating that the overall program / planning direction is null and void.

D.

The Center shall proceed with any program / planning instruction, direction or revision issued by the CNWRA Program Manager /CNWRA Deputy Program Manager that falls within A.1 through 3 above. Any objection or differences of opinion regarding overall program / planning direction issued by the CNWRA Program Manager /CNWRA Deputy Program Manager shall be immediately reported in writing by the Center to the Contracting Officer with concurrent copies to the CHWRA Program Manager /CNWRA Deputy Program Manager and shall provide substantiation for the Center's differing position citing the categories B.1 through 5 above as appropriate.

E.

Any unauthorized commitment or direction issued by the CNWRA Program Manager /CNWRA Deputy Program Manager may result in an unnecessary delay in the contractor's performance, and may even

G.3. - Responsibilities G.3.1 - Project Officer A.

The Project Officer for each individual task /sub-task is the Contracting Officer's authorized representative (hereinafter called Project Officer) for the technical aspects of the task order.

The Project Officer for each individual task /sub-task is responsible for:

(1) monitoring the contractor's progress to ensure that' work m pleted is commensurate wi.h resources expended and is on schedule, including surveillance and assessment of performance, and recommending to the Contracting Officer changes in requirements; (2) interpreting the scope of work; (3) performing technical evaluation as required; (4) performing technical inspections and acceptances required by this contract; and (5) assisting the contractor in the resolution of technical problems encountered during performance. Within the purview of this authority, the Project Officer is authorized to review all costs requested for reimbursement by the contractor which are associated to their particular task /sub-task as specified in the element operations plan and submit recommendations for approval, i

disapproval, or suspension for supplies / services required under the contract to the CNWRA Program Element Manager.

The Contracting Officer is responsible for directing or negotiating any changes in terms, conditions, or amounts cited in the contract, element or sub-element.

For guidance from the Project Officer to the contractor to be valid, it must:

(1) be consistent with the description of work set forth in the contract; (2) not constitute new assignment of work or change to the expressed terms, conditions or specifications incorporated into the contract; (3) not constitute a basis for an extension to the period of performance or schedule for final deliverable; and, as stated above, (4) not constitute a basis for any increase in the contract cost.

B.

The Project Officer is not authorized to approve or request any action which results in or could result in an increase in contract cost: or terminate settle any claim or dispute arisino under the contract. or issue any unilateral directive whatever.

(1) monitoring the contractor's progress to ensure that work completed is commensurate with resources expended and is on schedule, including surveillance and assessment of performance, and recommending to the Contracting Officer changes in requirements; (2) interpreting the scope of work; (3) performing technical evaluation as required; (4) performing technical inspections and acceptances required by this contract; and (5) assisting the contractor in the resolution of technical problems encountered during performance.

Within the purview of this authority, the Program Element /Sub-Element Manager is authorized to review all costs requested for reimbursement by the contractor which are associated to their particular element /sub-element as specified in the element operations plan and submit recommendations for approval, disapproval, or suspension for supplies / services required under
