Dear Mr. Zech:

At last night's Board of Directors' meeting, the Board took the following action:

1. The Board was reminded that Resolution 88-3-34 (attached) was still in effect. This resolution emphatically states that " Safety has been and will continue to be the first and foremost consideration in the operation of Rancho Seco... " .

2. The Board, by a 3 to 2 vote, authorized the General Manager to begin negotiations with Bechtel Power Corporation and Babcock & Wilcox on a partnering agreement for the operation and management of Rancho Seco. (See attached resolution) .

The negotiations began at 10:30 AM this morning.

3. By a unanimous vote, the Board agreed to minimize staff time spent on Board related issues by channeling information requests for priority ranking through the Board President.

(See attached resolution). In addition, the Board agreed to hold the number of committee meetings to a minimum between now and the June 6 election. These actions will result in staff being able to focus their energies on managing this utility and Rancho Seco.

These actions were taken based on my commitment to the Nuclear "

l Regulatory Commission to bring these items before my fellow Board members for concurrence.

This Board hereby reaffirms its comm?.tment to 1 divestiture and improved governance for Rancho Seco, and in furtherance of said goal, directs and authorizes the General Manager to negotiate with potential owners, operators, or other entities willing to share the risks and benefits of Rancho Seco, including immediate commencement of negotiations with Bechtel and Babcock & Wilcox to develop and clarify their recent proposal dated March 29, 1989. The General Manager shall report to this Board on the status of the Bechtel and Babcock & Wilcox negotiations at the May 4 regular Board meeting. , j Adopted April 12, 1989 .
