G.2' Overhead / General and Administrative Rates A.
Pending the establishment of final overhead rates, subject to Paragraph C below, wuich shall be negotiated based on audit of actual costs, the Contractcr shall be reimbursed for allowable indirect costs hereunder at the provisional rate of 3% of direct labor costs.

overhead and G&A rates may be adjusted as appropriate during the term of the contract upon the acceptance of such revised rates by the Contracting Officer.
However, the final negotiated rates shall not exceed the ceiling rates of W percent of direct labor for overhead costs and W percent of total direct costs with the right of offset between these two rates.
The foregoing revision is in accordance with Paragraph C above und is within the offset between the overhead cost rate and general and administrative cost rates.
