BEFORE ME, the undersigned authority, a Notary Public in and for Dallas County, Texas, on this day personally appeared DAVID N. CHAPMAN, who by me being duly sworn upon his oath deposes and says:

My name is David N. Chapman. I am presently employed by Texas Utilities Fuel Company and office at 400 North Olive Street, Dallas, Texas 75201.

Several weeks ago, Bob Wooldridge asked me to review three audit files which included TUSI Audit Report Number TBR-5 and TUGCO Quality Assurance <

Audit Reports Numbers TBR-6 and TBR-8, together with Brown & Root responses to audits dated May 14,1976 and January 26,1977. As requested, I reviewed those documents and now vaguely recall Brown & Root having referred to some work performed by Management Analysis Company for them in connection with Brown &

l Root's QA Program, at the time of the audits referred to above. I was not provided with a copy of any audit or work performed by Management Analysis Company for Brown & Root and have never seen the reports prepared by Management Analysis Company in 1976,1977, and 1978 for Brown & Root.

At the time of discovery requests by CASE beginning in 1980 and thereaf ter, I did not ,have a copy of any of'the Management Analysis Company reports for  !

Brown & Root as described above nor do I believe that anyone else at TU Electric and its predecessors had a copy. Furthermore, at such time, and until Mr.

Wooldridge recently brought the audit report files described above to my attention, I had not recalled the events in 1977 arid 1978 when Brown & Root mentioned in 4
