Dear Mr. Shapiro:
The purpose of this modification is to: 1) revise the statement of work; 2) remove the requirements for FERC to perform individual task orders; 3) increase the ceiling and total amount obligated for this agreement ; 4) extend the period of performance and change FERC and NRC points of contact. Accordingly, the following changes are hereby made:
- 1) Article 1 " Scope of Work"is hereby deleted in its entirety and replaced with the following:

"The FERC shall furnish all necessary qualified personnel, facilities, materials, and services to perform the work delineated in Section 2.0 of the Statement of Work (SOW)."

- 2) Article II " Task Order Procedures" is deleted in its entirety.
- 3) Article IV " Estimated Cost and Obligation", paragraph 1, sentence number 3, is deleted in its entirety and replaced with the following:
"The amount presently obligated for this Interagency Agreement is $141,684.00."

PROJECT TITLE:
TECHNICAL ASSISTANCE FOR PERFORMING DAM SAFETY INSPECTIONS ATVARIOUS SITES
1.0 BACKGROUND
T1e NRC Dam Safety Program Plan defined in SECY-91-193, dated June 25,1991, and noted al approved in a memorandum from SECY to the EDO, dated July 30,1991, outlined the use of personnel from the Federal Energy Regulatory Commission (FERC) to provide technical and field support for the program. This technical assistance was to be obtained through a Memorandum of Agreement and an Interagency Agreement. The Memorandum of Agreement was finalized on June 1,1992 and the Interagency Agreement was signed and finalized on September 2,1992. Work under this agreement is to be performed under the guidance of these two base documents.
l 2.0 WORK REQUIRED in an effort to streamline the implementation of the NRC Dam Safety Program, NRC in consultation with FERC has agreed to carry out the program as below. The agreement between NRC and FERC shall be a multi-year agreement. FERC shall furnish all necessary qualified personnel, facilities, material, and services to perform the evaluations / inspections. At the beginning of every fiscal year, NRC shall provide a lisi of six dams to be evaluated /
inspected. Every year, FERC shall review the six associated reports documenting the licensee's annual review of dams. FERC shall prepare inspection reports based on current field inspections of the six dams. By a combination of reviewing licensee generated annual dam inspection reports and field inspections, NRC will be able to fulfill its dam inspection program goal. The dam safety program goalis for operation inspections to be performed each year on each high or significant hazard potential dam, and at 2-to 3-year intervals for dams having a I
low hazard potential classification. The dams to be inspected are safe shutdown dams at nuclear power plants, tailings dams at tailings disposal facilities, irrigation storage, and any other significant dam whose failure would adversely impact on the safe operation of the NRC-licensed facilities.
l The scope of the inspection would include operation, maintenance, and any emergency I
planning for the unlikely event of a failure of the embankment and the resulting hazard j

downstream of the facility. The evaluation / inspection will focus on the conformance of the l
facility with the Federal Guidelines for Dam Safety (FGDS), June 1979, the various NRC l
guidance documents relevant to dam safety, and other documents incorporated into the NRC j
Dam Safety Program. These documents have been identified in the Memorandum of
]
Agreement between FERC and NRC. The evaluation / inspection of designated dams shall be performed by the appropriate FERC headquarters or regional offices. FERC shall provide the results of each evaluation / inspection in the technical letter report provided for in the Interagency L_______._____

2 Agreement. The inspection report / documents should be handled in accordance with NRC Manual Chapter 0610.
3.0 REPORTING REQUIREMENTS 3.1 Quarterly Letter Status Report Each quarter, FERC shall submit a brief 16tter status report which summarizes significant findings and results on each evaluation /inspecibn and (1) the work peiformed; (2) personnel time expenditures; (3) travel costs for each individual by trip and (4) costs and uncosted obligations listed separately: (a) during the previous quarter; (b) cumulative to date (fi.ecal year and total); and @ projection by month to completion of the work effort for the cu.Teet imcal year.
The first quarterly report shall provide the initial projections, and subsequent reports shall e;ther indicate revised projections or indicate "no change in the cost and uncosted obligation projection." The reporting shall be in a format that is configured to define the costs incurred during the reporting period for each evaluation / inspection. FERC is to submit such reports under the provisions of the interagency Agreement.
3.2 Technical Letter Reports FERC shall prepare a draft and final technical letter report for each dam documenting the results of (1) FERC's evaluation of the licensee's annual dam inspection reports, and (2) the l
dam inspection that is conducted to assess any concems identified during the evaluation of licensee's annual dam inspection reports. Within 30 working days following submission of the draft letter report, the NRC Technical Monitor shall provide written comments to FERC. FERC shall respond to the Technical Monitor's comments in writing within 30 working days following l
receipt of the comments, with the final letter report. The report shall be prepared in accordance l
with the Interagency Agreement provisions and conform to the format identified in the FERC Operating Manual for Inspection of Projects and Supervision of Licenses for Water Power Projects. Reports shall be addressed to the NRC Dam Safety Officer, Mr. Joseph J. Holonich, U.S. Nuclear Regulatory Commission, Washington, D.C. 20555. Five (5) copies of the report are to be submitted.
4.0 SCHEDULE l
l This is a multi-year agreement. The dams to be evaluated / inspected this fiscal year are Crow Butte (NE), Lucky Mc (WY), Pathfinder Shirley Basin (WY), Umetco White Mesa (UT), Farley (AL), and McGuire (NC). Because of limited time remaining in this fiscal year, the evaluation / inspection of Farley (AL) and McGuire (NC) shall be deferred until the beginning of fiscal year 1999. Therefore, the technical assistance effort for this year is targeted for completion by December 31,1998. The list of dams to be inspected during the subsequent years shall be provided to FERC at the beginning of each fiscal year. However, circumstances such as other FERC commitments, availability of the licensees' representatives, and the weather may result in schedule slippage. The specific schedule for the date of the field

inspection will be established by verbal or written coordination between NRC and the FERC i
regional office.

1 5.0 MEETINGS AND TRAVEL The evaluation / inspection effort under this agreement shall be assigned by the FERC headquarters to the appropriate FERC regional offices. The evaluation of licensee reports shall be performed in the FERC offices. If the evaluation identifies any concerns that need to be resolved, then there will be meetings between appropriate FERC and NRC personnel at mutually convenient places. The field inspections shall be completed during a single field visit by FERC personnel. One meeting for preparation is anticipated that would be held at a location mutually agreed to by FERC and NRC, and that would probably be in a designated regional office or at the site. This meeting would be held the day of or the day before the field activities are to be conducted at the site. A meeting may also be necessary after the completion of field work and the draft report.
6.0 NRC-FURNISHED MATERIALS The NRC Technical Monitor shall provide FERC with a!! relevant annual inspection reports, data, and information retrievable from NRC records for executing this agreement. The NRC Technical Monitor shall also initiate and obtain any additional information from the licensees that will be necessary in the preparation for and the execution of the evaluations / inspections defined under this agreement.
7.0 PERIOD OF PERFORMANCE The period of performance for the work specified in this agreement shall commence on execution of this agreement and continue through December 31,2000.
8.0 TECHNICAL DIRECTION The NRC Dam Safety Officer is Joseph J. Holonich (301-415-7238). The NRC Technical Monitor is Terry Johnson (301-415-6658).
9.0 ESTIMATED LEVEL OF EFFORT lt is estimated that there will be six site visits and six licensee report evaluations in each year of this agreement. The estimated level of effort for reviewing records of previous FERC/NRC inspections and the licensee generated annualinspection reports, and documenting the results of the review, including meetings if needed, is estimated to be seven person-days per site.

The estimated level of effort for the field inspections is as follows in terms of person-days of effort. These include preparation, travel, inspection, report preparation, meetings, and issuance of a final report.
