Application Pursuant to 10 CFR 50.80 for Order and Conforming License Amendment to Transfer Operating Authority to FirstEnergy Nuclear Operating Company (License Amendment Request No. 98-0009) -
Ladies and Gentlemen:
Pursuant to 10 CFR 50.80, " Transfer of Licenses," the Toledo Edison Company (TE) and Centerior Service Company (CSC) hereby submit the enclosed application for an order and a conforming license amendment for the Davis-Besse Nuclear Power Station (DBNPS) Unit Number 1 Operating License Number NPF-3. The proposed changes would transfer operating authority for the DBNPS from TE and CSC to a new operating company called the FirstEnergy Nuclear Operating Company (FENOC). This revised operating arrangement is expected to enhance the already high level of public safety, operational efficiency, and cost-effective operations at the DBNPS.
TE and CSC submit this application as the current licensed operators of the DBNPS and on behalf of the owners of the DBNPS -- TE and the Cleveland Electric Illuminating
. Con'pany (CEI). A similar application is being submitted separately to transfer
. operating authority for the Perry Nuclear Power Plant to FENOC.

- As described in the enclosure, an Operating Agreement will be executed with the Owners (TE and CEI) to govern operation of the DBNPS by FENOC. A copy of the N7 i
Operating Agreement will be provided to the NRC by supplemental letter. As also indicated in the enclosure, the address of FENOC, as well as the names and addresses of its Directors and Principal Officers, will be provided by supplemental leiter.

. December 31,1999. TE and CSC request that the NRC review this application on a schedule that will permit issuance of an immediately effective order consenting to the
. transfer as promptly as possible, and in any event before December 31,1998. TE will keep the NRC staff informed as to the status of any changes in the estimated date for consummation, and will notify the NRC staff when it is ready for the conforming license amendment to be issued.
