Dear Mr. Lofy:
In accordance with Section G.4. Task Order Procedures, of the subject contract, this letter definitizes the subject task order modification.
The effort shall be' performed in accordance with the enclosed Statement of Work and the Contractor's technical proposal dated February 19, 1998.
The cost ceiling for the subject task order, as a result of the subject modification, is hereby increased by $119.671.80 from $151.421.39 to $271.093.19.
The amount of $263.756.00 represents the estimated reimbursable costs, the amount of $216.13 represents the facilities capital cost of money, and the amount of

~ On October 24,1996, the NRC issued an Order to Northeast Nuclear Energy Company (NNECO), the licensee for Millstone, requiring (1) a comprehensive plan for resolving the Millstone station employee's safety concems and (2) an independent, Third-Party, Oversight Program (ITPOP) organization to oversee NNECO's implementation of the employee safety concem program (ESCP). The ITPOP organizabon must be 'mdependent of NNECO and its vendor and architect engineer (AE) contractors. The ITPOP is to provide independent verification that the licensee's ESCP effectively resolves employee concems.
The Order states that the NRC staff will perform the followng activities:
- 1. Review NNECO's ESC comprehensive plan.
- 2. Approve the ITPOP organization to ensure that the organization has qualified individuals who wi:1 conduct the review adequately and independently of NNECO.
- 3. Approve the ITPOP plan used to oversee the NNECO's implementation of its ESCP.
The ITPOP review must be comprehensive, incorpeinivig appropriate audit and technical disciplines so the NRC can be conident that NNECO has been thorough in identifying and resolving ESC at Millstone.
OBJECTIVE The objective of this task order is to obtain expert technical assistance (two specialists) to assist the NRC staff in the review and approval of the ITPOP plan and in its inspection of the ESCP program and the ITPOP oversight. The experts should primarily have a background in ESCPs, human resources, communications, and management techniques. The experts should be
thoroughly familiar with NRC regulations and inspection methodology.
It shall be the responsibility of the contractor to assign technical staff, employees, and subcontractors, who have the required educational background, experience, or combination thereof, to meet the technical and regulatory objectives of the work specified in the Statement of Work (SOW). The NRC will rely on representation made by the contractor concerning the qualification of the personnel proposed for assignment to this task order including assurance that all information contained in the technical and cost proposals. including resumes and conflict of interest disclosures, is accurate and truthful.
WORK REQUIREMENTS AND SCHEDULE The work specified in this SOW falls within Section C.3 of the basic contract's SOW. The contractor shall provide the qualified specialists, and the necessary facilities, materials, and services to assist the NRC staff in preparing for, conducting, and documenting the review and inspection activities and findings. Specific tasks under this task order are:

During the performance of the specific tasks under this task order, the NRC Team Leader can, at her discretion, modify the schedule, travel arrangements, the location for performance of a task, etc., without any revision to this task order being required as long as the overall costs and the period of performance remain the same or less.
NOTE: Before the start of the on-site preparation, the contractors staff is required to be available to coordinate inspection aspects, such as trave, jogistics, with the NRC Team Leader.

At the completion of Task 3, the contractor's specialists shall submit the results of their evaluation in a technical report to the NRC Team Leader. The NRC Team Leader shall provide directions for the format and scope of this input.
At the completion of Task 4, the contractors specialists shall submit the results of their developing performance indicators in a technical report to the NRC Team Leader. The NRC Team Leader shall provide directions for the format and scope of this input.
At the completion of Task 5, the contractors specialisits shall write monthly reports discussing the results of tracking of the performance indicators in a technical report to the NRC Team Leader. The NRC Team Leader shall provide directions for the format and scope of this inout.
At the completion of Task 6, the contractors specialists shall provide input into the inspection plan to the NRC Team Leader. The NRC Team Leader shall provide directions for the format and scope of this input.
During Task 7, the contractors specialists shall provide daily reports to the NRC Team Leader.
The format and scope shall be as directed by the NRC Team Leader.
1 At the completion of Task 8, (before the inspection team's final exit meeting with NNECO), the contractors specialists shall provide a draft inspection report input to the NRC Team Leader.
The format and scope shall be directed by the.NRC Team Leader. Typically, this input will consist of a handwntten summary of the specialists' inspection findings.
1 At the completion of Task 9, the contractor shall deliver the specialists' final inspection report inputs (feeder reports) to the NRC Project Officer (original and one copy) with one hard copy and one computer diskette version (Wordperfect 5.1) to the NRC Team Leader. The format and scope of the final report inputs shall be as directed by the NRC Team Leader.
The specialists feeder report will serve as documentation of the specialists' inspection activities, efforts, and findings, and will be used by the NRC Team Leader for the preparation of the NRC's inspection report. The form and scope of the final report input shall be directed by the NRC Team Leader. As a minimum, the specialists
- report inputs shall include the following:
Identification of the individuals (name, company, title) that provided information to the e
specialist during the inspection.
For each areas inspected, a description of the activities and general findings and
t conclusions reached regarding the adequacy of the area.
For each area with a concern or findings, a discussion of the concerns or findings with technical bases.
NOTE: The contractor is not required to undertake any further efforts toward report finalization.
For example, management review of the feeder report beyond its submittal to the NRC Team leader and project manager is not needed.

The following meetings and travel are added to this task order:
One, one-person 14-day trip to the plant site to review the licensee's corrective actions.
Nine, one-person,4-day trips to the plant site for on-site review. (The trips will take place every two weeks starting 3/2/98).
The contractor's staff shall coordinate all travel arrangements in advance with the NRC Team Leader.

NRC EUEMISHED MATERIAL Documents required to review and prepare for the inspection will be provided by the NRC Team Leader.
OTHER APPLICABLE INFORMATION Some of the work specified in this SOW is fee recoverable. The contractor shall provide fee recovery information in the monthly progress reports in accordance with the requirements of the basic contract.
The contractor's specialists assigned to this task order will have to get a badge for unescorted access privilege at the plant site. The contractor shall provide all documentation required for unescorted access (as identified by the NRC Team Leader) at the plant site. Questions concerning getting a badge and the plant site access shall be addressed to the NRC Team Leader.
