The purpose of this modification is to (1) establish rights to use of any technical data and computer software developed under this contracts (2) establish title rights to the technical data and computer softwares (3) r'ecognize ownership of the' EEGOL system,-and (4) to establish that the EAGOL system shall be utilized in performance of this contract which is in-Pursuant to' Paragraphs 1, 2, and 3 of Pages 1 through 3 of Enclosure 1, dated November corporated herein by reference, submitted with the contractor's letter 21, 1986. Therefore this contract is revised as follows:

The parties mutually agreed that the background proprietary inforsation, hereinafter to be referred to as the EAGOL system, shall be used in performance of work under this contract. It is further agreed that the EAGOL system is not a deliverable item under this contract and that the Government is under no obligation to reimburse the contractor additional funds for use of the system as a result of performance of this contract.
It is recognized that ownership of the EAGOL system rests with Seer Systems. During the performance of this contract, if Seer Systems elects to discontinue utilization of the EAGOL system, or such is anticipated, the contractor shall immediately notify the Government.

It is mutally understood that the Government will have title rights to all technical data and software developed and generated under this ce ntract. In essence, all technical data and software generated under
.this contract will be the property of the Government. However, the i
Government hereby grants to the contractor and Seer Systems of Pittsburgh, Pennsylvania unlimited rights to use any technical data or computer software that results from the development of the working computer-based demonstration system and the cognitive model generated under this contract. Notwithstanding, the granting of unlimited rights.
utilization of the technical data and software shall be centered on Paragraph 3 contained on Page No. 5 of Enclosure I submitted.with the contractor's letter dated November 21, 1986.
All terms and conditions, including the ceiling of $392,493.17, remain the same.
