Dear Dr. Denton:

This is in response to the letter of October 17, 1986 from J. A. Bouknight, Jr. on behalf of Alabama Power Company to you enclosing the order of the federal district court in Greensboro Lumber Company v. Georgia Power Co., C.A. No. C84-2022A (August 29, 1986), granting defendants' motions for summary judgment.

The district court's order does contain descriptive language pertaining to Oglethorpe Power Corporation and its members.

However, the imaginative and fanciful conclusions that Mr.

Bouknight asserts in his letter are wholly unsupported by the Greensboro order or by any other judicial opinion that we are aware of. Thus, Mr. Bouknight's assertion that AEC's members might be able to avoid their " ownership obligations" by dissolving AEC is completely unsupported by the judge's order or by any other authority we are aware of; it is rather the fancy of Mr. Bouknight's imagination without grounding in precedent or commercial reality.
