Dear Mr. Dusaniwskyj:

This letter is to confirm that any sales at wholesale of capacity and/or energy from the 30 percent interest in River Bend that is being transferred to Entergy Gulf States Inc. ("EGSI"), as more fully described in the application in the above-referenced proceeding, will be subject to the jurisdiction of the Federal Energy Regulatory Commission ("FERC"). The language on page live of the Application was inserted to indicate that EGSI does not intend to include the capacity and/or energy, or costs and revenues associated therewith, within the provisions of the Entergy System Agreement.
