Dear Mr. Knight:

In accordance with Section G.5 Task Order Procedures, of the subject contract, this letter definitizes Task Order No. 246.

This effort shall be performed in accordance with the enclosed Statement of Work.

Task Order No. 246 shall be effective the date of award through November 30, 1999. The total cost ceiling is $48,405.00, of which the amount of $44,508.00 represents the reimbursable costs, and the amount of $3.897.00 represents the fixed fee.

Eaton, (301) 415-3610 BACKGROUND The NRC is currently updating and developing its regulatory guidance to address issues related to the decommissioning of permanently shutdown power reactor facilities. The NRC has determined it will risk inform its process of granting exemptions for decommissioning facilities in the areas of emergency procedures (EP), insurance, and safeguards. The NRC has developed a draft interim risk assessment that evaluates how spent fuel pools would react to postulated severe accidents (Accession number ). The NRC has made this draft interim risk assessment available to the industry and the public, and has held several public meetings to solicit public comment and provide information to the industry and the public as to how the NRC is proceeding in its process of developing a risk informed approach.

The staff seeks an independent technical and quality review of the, " Draft Technical Study on Spent Fuel Pools at Decommissioning Plants,"in the areas of criticality and fire protection to determine its adequacy.

OBJECTIVE The overall objectives of this project are to assist NRC by providing technical assistance in a variety of areas related to spent fuel pool risk at decommissioning plants. The specific objectives are to provide the multi-disciplinary managerial and technical expertise necessary to i

assist NRC in assessing and updating the draft technical report for spent fuel pools in the areas of criticality and fire protection at decommissioning plants, providing recommendations for i

improvements in each area at decommissioning plants, and summarizing and providing responses to stakeholder comments on the NRC's draft technical report.

TECHNICAL AND OTHER QUALIFICATIONS REQUIRED The use of experienced personnel for the key positions on each task under this project is essential to the success of the project. At a minimum, key personnel willinclude the Scientech Project Manager (PM), Task Leader and/or Principal Investigator performing the actual work.

With respect to key personnel, Scientech will assign an overall PM to manage this program (Scientech PM) subject to the approval of the NRC PM and Technical Monitor. The Scientech PM may recommend to the NRC key personnel to serve in the capacity as task manager /

leader / supervisor for individual tasks subject to the approval of the NRC Technical Monitor. Key personnel cannot be changed without the approval of the NRC Technical Monitor, which will be communicated to the contractor by the NRC PM. Technical personnel shall have demonstrated expertise in the area of their responsibility on this project. The work requires technical personnel with experience in the decommissioning of reactor facilities, criticality of spent fuel,

, and fire protection. Each must have a scientific or engineering degree, or the equivalent educational background.

It is the responsibility of the contractor to assign technical staff, employees, subcontractors, or specialists who have the required educational background, experience, or combination thereof to meet both the technical and regulatory objectives of the work specified in this SOW. The NRC will rely on representations made by the contractor conceming the qualifications of the personnel assigned to the task order (TO) including assurance that all information contained in the technical and cost proposals, including resumes, is accurate and truthful.

This project is expected to involve the development of information on the risk associated with operation of spent fuel pools at commercial nuclear power decommissioning plants. The results of this effort have the potential to affect entities regulated by the NRC and industry organizations. The contractor must be absolutely free from direct or appearance of organizational conflict of interest with respect to any of the entities subject to NRC conflict of interest criteria. If any work will be subcontracted or performed by consultants, the contractor shall obtain the NRC's written approval of the subcontractor or consultant prior to initiation of the subcontract effort. Approvals will be communicated to the contractor by the NRC PM. Conflict of interest considerations will also apply to any subcontracted effort.

WORK REQUIREMENTS AND SCHEDULE The contractor will perform the following tasks related to spent fuel pool criticality and fire protection at decommissioning plants:

1.

Prepare and submit an evaluation of the technical accuracy, scope, and quality of the NRC's draft technical study in the areas of criticality and fire protection for decommissioning reactors.

2.

Prepare and submit a summary of and response to stakeholder comments and suggestions regarding the NRC's draft technical study and its associated insights. After consultation with the Technical Monitor, incorporate revisions to the draft technical study in response to stakeholder comments.

3.

Participate in meetings and discussions with NRC staff and stakeholders in the areas of fire protection and criticality for decommissioning plants.

4.

Prepare and submit and evaluation which determines if an inadvertent criticality is feasible. If it is feasible, describe the mechanism for its occurrence and the possible radiological consequences.

The subtasks and completion schedule are required as follows:

SUBTASK SCHEDULE 1.

DELIVERABLES Monthly Business Letter Report Scientech shall prepare a monthly business letter status report, including fee recovery data, in accordance with the current NRC Manual Chapter 11.7.

Technical Reportina Reauirements The contractor shall provide the Project Manager and the Technical Monitor a written evaluation of the tecinical accuracy, coope, and quality of the NRC's draft technical report for decommist,loning reactors required by Subtask 1. The contractor shall provide the Project Manager sind the Technical Monitor a written summary of the comment resolutions as required by Subtask 2. The contractor shall participate in meetings and discussions with stakeholders regarding the draft technical study for spent fuel pools in the areas of thermal hydraulics, enticality, and fire protection for decommissioning plants required by Subtask 3. The contractor shall determine if an inadvertent criticality is feasible, and if so, the contractor shall describe the mechanism for its occurrence and the possible radiological consequences as required by Subtask 4. The contractor shall provide the Project Manager and the Technical Monitor a written evaluation of the technical accuracy of the runaway oxidation temperature.

. MEETINGS AND TRAVEL Three trips to NRC Headquarters of one day duration to meet with staff is anticipated.

NRC FURNISHED MATERIALS.

The NRC will provide Scientech with copies of the staff's " Draft Technical Study on Spent Fuel Pools at Decommissioning Plants," and provide any stakeholder and NRC comments on the 3

OTHER APPLICABLE INFORMATION License Fee Recovery 1

The work specified in subtasks 1 through 4 is not fee recoverable under 10 CFR Part 171 and

CONFLICT OF INTEREST INFORMATION This proposed project will be reviewed by Scientech to determine whether it duplicates work being performed for others. Scientech will determine whether any condition prevents it from

conducting the activities described in this Scope of Work so as to avoid any bias in the j

performance of work and to avoid any unfair competitive advantage as a result thereof. A conflict of interest determination must be made and findings reported to the NRC Project l

i Manager and Technical Monitor for NRC approval prior to use of subcontractors or consultants to perform work under this project.

EXPECTED CLASSIFICATION OR SENSITIVITY All work under this project is expected to be unclassified and not sensitive.

Property Manaaement 1.

Utilization Review j

lt is not expected that Scientech will be required to purchase any equipment, including computer hardware or software, to perform the work contemplated under this contract.

However, if equipment is required, DOE or Scientech shall conduct a utilization review of DOE and other appropriate sources of unrequired, excess and surplus property prior to its purchase with NRC funds. Property identified during this review that meet NRC project needs shall be transferred to this project in lieu of the purchase of new equipment. NRC written approvalis required before any equipment is acquired.

Scientech shall submit a written request to the NRC PM for approval to purchase property not identified in the original proposal with an acquisition cost of $500 or more after work initiation. The NRC PM shall approve the acquisition of any additional property in writing.

s. Scientech shall report property acquired for the project each month with an acquisition cost of $500.00 or more in the Monthly Letter Status Report. Scientech shall provide the following information for each item of property reported: item description or nomenclature, manufacturer, model number, serial number, acquisition cost, receipt date, and DOE or laboratory property identification number for sensitive property and property with an acquisition cost of $5,000 or greater.

If no property was acquired during the reporting month, the Scientech shallinclude a statement to that effect in the Monthly Letter Status Report (MLSR). Scientech is responsible for ensuring that property reported in the MLSR that is sensitive or has an acquisition cost of $5,000 or greater is consistent with DOE official property records.

The NRC PM shall ensure that the property listed in the MLSR was previously approved for the project by NRC. When this is not the case, the NRC PM shall ensure that the unauthorized purchase is charged back to DOE.
