Dear Sir / Madam:

The purpose of this letter is to confirm two senior management changes that have been made within AmerGen Energy Company. Dickinson M. Smith, a U.S. citizen and formerly Chief Executive Otlicer, has become Vice Chairman of AmerGen where he will direct the company's acquisition efrorts and advise on safety policy. Mr. Smith also will have responsibilities for reviewing and advising AmerGen on safety policy. As you are already aware, I have served as AmerGen's Chief Nuclear Ollicer and am also a U.S. citizen. I will continue in this role, but will take on the responsibilities of Chief Executive Oflicer of AmerGen while continuing in my capacity as President of PECO Nuclear and Chief Nuclear Ollicer of PECO Energy. A copy of a press release regarding these changes is attached.

These changes do not alter the technical qualifications of AmerGen and do not raise any foreign ownership issues. Therefore, we do not believe that these changes have any impact on NRC's approval of the license transfer for Three Mile Island Unit 1. If you have any questions, please contact me at 610-640-6600.

Bill Jones, PECO Energy 215-841-5555 Susan Brissette, British Energy 416-214-0552 gg AMERGEN ENERGY ANNOUNCES EXECUTIVE APPOINTMENTS TO AUGMENT GROWING BUSINESS Philadelphia, Pa., July 1,1999 -- AmerGen Energy Company announced today two executive appointments to augment its growing business of acquiring and operating nuclear plants in the United States.

Dickinson M. Smith, formerly AmerGen's chief executive officer, now becomes vice chairman of AmerGen to direct the company's efforts on the acquisition aspects of the business. In his role as vice chairman, Smith will also have responsibilities for reviewing and advising AmerGen Energy on safety policy.

Gerald R. Rainey now becomes chief executive officer of AmerGen, and combines this with his current role as AmerGen's chief nuclear officer. He will direct the operations of AmerGen's increasing portfolio of nuclear plants. Rainey continues to be president of PECO Nuclear and PECO Energy's chief nuclear officer.

AmerGen is a joint venture of PECO Energy Company, of Philadelphia, Pa., and British Energy plc, of Edinburgh, Scotland.

AmerGen presently is close to closing on the purchase of Three Mile Island Unit One. It also has announced definitive agreements for the purchase of Nine Mile Point Unit Oce,59 percent of Nine Mile Point Unit Two and the Clinton nuclear plant, and is negotiating the purchase of Vermont Yankee.

1 Said Dr. Robin Jeffrey, president of AmerGen and British Energy's deputy chairman l and executive director North America. "AmerGen-has gone from strength to strength since its formation in 1997. The Company has shown how nuclear power can be successful in a competitive electricity market. The new roles for Dick Smith and Jerry Rainey demonstrate our commitment to AmerGen's future."

Smith, a former rear admiral in the nuclear Navy, came to PECO Energy in 1987 to l head the turnaround of the shut down Peach Bottom Atomic Power Station as the plant's vice president. He was named president of PECO Nuclear in 1996 before retiring from the Company in 1998. He was appointed AmerGen's first CEO the same year. l Rainey, who has been with PECO Energy since 1969, has served in a variety of management and executive positions in both nuclear and non-nuclear generation. He was named president of PECO Nuclear in 1998.
