NOTICE OF TERMINATION & SUSPENSION OF COSTS BILLED UNDER l INVOICE NO. 8501-01R, DATED MARCH 23,1999 AND RECE!VED APRIL 13,1999

Reference:

Modification No. 6 Under Contract No. NRC-26-96-261

Dear Ms. Sanders:

This is to advise you that, in accordance with Federal Acquisition Regulation (FAR) Clause 52.249-2, entitled, " Termination for Convenience of the Government (Fixed-Price),"

Modification No. 6 under the subject contract is partially terminated for convenience of the Government, effective August 12,1998. Specifically, contract line item no. 00138, the ,

deliverable to convert the Power Plant Engineering course to a self-study format is hereby l terminated under this modification. This action is being taken because the NRC has l determined that the need for this service is no longer required under this contract.

Therefore, in accordance with FAR Clause 52.249-2, you are directed to cease work on the above referenced deliverable and to provide notification of this action to allimmediate subcontractors. You are, however, required to continue performance to completion under Modification No. 6, on the deliverable to update the Code of Federal Regulation Self-Study quizzes which are not affected by this partial termination action, in accordance with this termination clause, you are required to submit to the Contracting

Officer, promptly, but no later than one (1) year from the effective date of the termination, a settlement proposal for the amount claimed as a result of this partial termination for convenience. The settlement proposal must be submitted on Standard Form (SF) 1438, entitled, " Settlement Proposal (Short Form)Nhen the total proposal amount is less than

$100,000.00. Should the total proposal amount exceed $100,000.00, the settlement proposal must be submitted on SF 1439, entitled, " Schedule of Accounting information."

In addition, we are suspend.ng payment of cost billed under the subject invoice in the amount of $46,144.24. This action is being taken because your invoice does not provide specific details of the work completed for this effort to substantiate payment of the costs billed.

Under Subsection F.3 of the contract, you are required to provide in your monthly progress j

report submittal, a listing of the efforts completed during the periods when course development //

is underway. A review of the progress reports received during this period has determined that O Sonalysts did not comply with this requirement. In absence of this information, the NRC cannot make a determination as to the validity of the costs billed under the invoice.
