-Page 2 of 2 The purpose of the subject modification is to incorporate the finalindirect rates under the subject contract as established by the cognizant Defense Contract Audit Agency.

Accordingly, the following change is hereby made:

Under Paragraph G.1 - Indirect Cost Rates. is hereby revised to incorporate the final indirect rates for Fiscal Years 1993 and 1994 as reflected in the cognizant Defense Contract Audit Agency's letter dated July 1,1996 and June 24,1997, which is hereby incorporated by reference and made a part hereof this modification.

All other terms and conditions under this contract remain unchanged.
