l Occument E-14 is an inter-office memorandum from agency counsel to the Office of Enforcement.

This memorandum contains counsel's legal advice regarding the f

sufficiency of a draft order under consideration by the NRC staff. Such legal advice is exempt from mandatory disclosure by virtue of Exerption 5 of the F0!A 1

which protects connunications between an attorney and his client.
