Optional Phase II shall be performed in accordance with Paragraph C.1.3.b, entitled " Optional Phase II - Model Development" and the contractor's proposal dated February 28, 1986 and revised proposal dated March 25, 1986, of which both are incorporated herein by reference. Accordingly, the subject contract is revised as follows:

Section G, Paragraph G.1 entitled " Consideration", is deleted in its entirety, and the following is substituted in lieu thereof:
G.1 Consideration Estimated Cost, Fixed Fee and Obligation (For Phases I and II Only)
Phase I 1.
It is estimated that the total cost to the Government for full performance of Phase I of this contract will be $152,380.00, of which the sum of represents the estimated reimbursable costs, and of which represents the fixed fee.
Phase II It is estimated that the total cost to the Government for full performance of Phase II of this contract will be $240,113.17 of which the sum of $ 6 represents the estimated reimbursable costs, and of which %digggggP represents the fixed fee.
The total estimated cost for full performance of Phases I and II will be
$392,493.17 of which the sum of $4EEEEEEEED represents the estimated reimbursable costs and of which $ 6 represents the fixed fee.

Total funds currently available for payment and allotted to this contract are $392,493.17, of which cammpu m a W represents the estimated reimbursable costs, and of which $N represents the fixed fee.

It is estimated that the amount currently allotted will cover performance of Phase II which is scheduled to be completed on or before April 30, 1987.
C.
Section G, Paragraph G.2, entitled " Overhead / General and Administrative Rates",
is deleted in its entirety and the following is substituted in lieu thereof:
G.2 Overhead /Ger.eral and Administrative, C0C-R&D and C0C-CORP Rates A.
Pending the establishment of final overhead rates which shall be neogitated based on audit of actual costs, the contractor shall be reimbursed for allowable (indirect costs hereunder at the provisional rate of 100.9 percent of R&D Labor.

Pending the establishment of final general and administrative rates which shall be negotiated based on audit of actual costs, the contractor shall be reimbursed for allowable indirect costs hereunder at the provisional rate of 12.94 percent of R&D Center Labor and Engineering Overhead.

Pending the establishment of final C0C-CORP rates which shall be negotiated based on audit of actual costs, the contractor shall be reimbursed for allowable indirect costs hereunder at the provisional rate of.09324 percent of Total Direct Cost.
D.
Pending the establishment of final C0C-CORP rates which shall be negotiated based on audit of actual costs, the contractor shall be reimbursed for allowable indirect costs hereunder at the provisional rate of.00192 percent of Total Direct Cost.
E.
Nothwithstanding A, B, C, and D of this Section, said provisional overhead, G&A, C0C-R&D, and C0C-CORP rates may be adjusted as appropriate during the term of the contract upon the acceptance of such revised rates by the Contracting Officer.
All other terms and conditions remain the same.
