SAFETY EVALUATIO.N FOR THE PROPOSED MERGER OF CALENERGY AND MIDAMERICAN AND THE INDIRECT TRAr 4.iFER OF LICENSES FOR QUAD CITIES UNITS 1 & 2 The attached analy6 constitutes our financial qualifications, antitrust reviews and input to the SER for Quad Cities Units 1 & 2, on the proposal dated September 10,1998, to the NRC by Mr.

David L Sokol, Chairman and Chief Executive Officer of CalEnergy Company Inc., and Mr j

Stanley J Bright, Chairman, President and Chief Executive Officer of MidAmerican Energy Company, including supplemental information forwarded to the NRC dated September 16,1998 requesting the transfer of indirect control of the licenses (DRP-29 & DRP-30) from MidAmerican Energy Holdings Company to CalEnergy Company Inc. This transfer of indirect control of the licenses of Quad Cities Unit 1 & 2 reflects the proposed merger of Ca! Energy and MidAmerican l

through the purchase of MidAmerican Energy Holdings Company by CalEnergy. MidAmerican is a twenty five percent (25%) non-operator owner of Quad Cities.

The basis of this review is 10 CFR 50.80(a) which states, "No license for a production or i

utilization facility, or any right thereunder, shall be transferred, assigned, or in any manner l

disposed of, either voluntarily or involuntarily, directly or indirectly, through transfer or control of l

the license to any person, unless the Commission shall give its consent in writing."

Based on the information presented in the before mentioned documents and a letter dated September 10,1998 from Mr. R M Krich, Vice President-Regulatory Services, Commonwealth i

Edison Company (operator and seventy five percent (75%) owner of Quad Cities) with respect to

our financial qualifications review, we conclude that the proposed indirect transfer should be approved.
