Dear Board Members:

On April 7, 1986, Consumers Power Company (the Company) issued a study considering various options fo : the Midland Nuclear Plant. The study considered four options ranging frpm abandoneent of the facility to compl'etion of the facility as a nuclear plant, The Options Study concluded that the most favorable option was conversion of phe plant to a combined-cycle gas fired plant. The Coepany's press release regarding the Midland Options Study is attached for your informa-tion. A copy of the Options Study is available to the board or parties on request.

The Company has reiuested that the Michigan Public Service Commission relieve it from a conditio in a rate order issued March 29, 1985, relating to the restart of constru tion of the Midland plant. The Company's future actions are continfentonbeinggrantedrelieffrcmsuchcondition. The Company is also subject to certain' negative covenants in financing arrangements with banks relatingtotheexhenditureoffundstocompletetheMidlandplant.

Given the present yncertainties, the Company desires to maintain its options for the Midland fagility. This includes retention of the Midland construction permit and maintenance of the operating license application in an inactive state. The Compan will continue to inform the Board and parties of any materihl developne es concerning the Midland plant, and will continue to meet its commitments to, file reports to the Board as long as the OL/0M proceeding
