The indirect transfer is being sought as the result of the plarsned merger of Commonwealth Energy System, the parent company of Canal, and BEC Energy.

1 Transmitted as Enclosure I to this letter is the License Transfer Application of Canal requesting, j pursuant to 10CFR 50.80, that the Commission consent to the indirect transfer of control. It is requested that the Commission review the enclosed Request for Transfer of Control and l complete the requested actions by April 30,1999 to support a closing shortly thereafter.
